A meeting of the Executive Committee of the Board of Trustees of the Fine Arts Museums of San Francisco was held on Thursday, March 14, 2002, in
the 6th Floor Conference Room of the Administrative Offices at 233 Post Street,
San Francisco. A quorum being present, the meeting was called to order at 12:20 p.m. by Diane B. Wilsey, President. President Wilsey presided; Mrs. Gough acted as Secretary.

Closed Session for Conference with Legal Counsel for Existing Litigation
CONFERENCE WITH LEGAL COUNSEL - EXISTING LITIGATION
People for a New de Young vs. the City and County of San Francisco, the City and County of San Francisco Board of Supervisors, San Francisco Planning Department, San Francisco Planning Commission, San Francisco Park and Recreation Department, San Francisco Park and Recreation Commission, Golden Gate Park Concourse Authority, and the Corporation of The Fine Arts Museums, a Corporation, and the Fine Arts Museums of San Francisco Filed with The Superior Court of the State of California in and for the County of
San Francisco on February 5, 2002, Case Number CPF-02-500598
President Wilsey advised that on February 5, 2002 a petition challenging the
Notice of Determination and certification of the Final Environmental Impact Report for the New de Young Museum was filed by the People for the New de Young with the Superior Court of the State of California in and for the County of San Francisco against the City and County of San Francisco, the City and County of San Francisco Board of Supervisors, San Francisco Planning Department, San Francisco Planning Commission, San Francisco Park and Recreation Department, San Francisco Park and Recreation Commission, Golden Gate Park Concourse Authority, the Corporation of The Fine
Arts Museums, a corporation, the Fine Arts Museums of San Francisco, and Does 1 through 20.
A. Public Comment on All Matters Pertaining to the Closed Session
President Wilsey stated that public comment would be taken at this time on all matters pertaining to the closed session before the Executive Committee votes to convene in closed session. There was no public comment.
B. Vote on Whether to Hold Closed Session to Confer with Legal Counsel
C. Closed Session Pursuant to Government Code Section 54956.9 and
San Francisco Administrative Code Section 67.10(d)
President Wilsey called the closed session to order and introduced Adine Varah and Kate Stacy, Deputy City Attorneys, who specifically addressed the legal issues raised by the litigation.
D. Return to Open Session
1. Possible Report on Action Taken in Closed Session [Government Code Section 54957.1(a)(2) and San Francisco Administrative Code Section 67.12(b)(2)]
President Wilsey reported that no action was taken by the Executive Committee during the closed session, and that the City Attorney’s Office has advised that it will proceed to defend the litigation.
2. Vote to Elect Whether to Disclose Any or All Discussions Held in Closed Session [San Francisco Administrative Code Section 67.12(a)]
The Executive Committee voted unanimously not to disclose any of the discussion held in closed session.

A. Consideration and Possible Action to Approve the Minutes of the January 31, 2002 Meeting of the Board of Trustees
|

|
|
|
There being no discussion among the Trustees or members of the public, the minutes of the January 31, 2002 meeting of the Board of Trustees, having been mailed in advance to all Trustees, were unanimously approved.

B. Report on Recent Developments Regarding the Plans to Build a
New de Young Museum in Golden Gate Park
President Wilsey read the following resolution:
WHEREAS, The building of the New de Young Museum in Golden Gate Park is the highest institutional priority of the Board of Trustees of the Fine Arts Museums of San Francisco; and
WHEREAS, At its meeting on April 12, 2001, the Board of Trustees of the Fine Arts Museums authorized the Corporation of The Fine Arts Museums to continue as the developer of the New de Young Museum and to implement and expedite the next stage of planning to prepare for the construction of the New de Young Museum; and
WHEREAS, On January 31, 2002, the Board of Trustees of the Fine Arts Museums adopted the findings pursuant to the California Environmental Quality Act regarding the New de Young Museum Project Environmental Impact Report including mitigation measures, rejection of alternatives, statement of overriding considerations and mitigation monitoring program; and
WHEREAS, At the January 31, 2002 meeting, the Board of Trustees also approved the design of the New de Young Museum Project and authorized the Corporation of The Fine Arts Museums to proceed with the Project; and
WHEREAS, The site and demolition permit was issued by the City and County of San Francisco on February 7, 2002; and
WHEREAS, The de Young Museum site has been prepared for demolition commencing on March 18, 2002; now, therefore, be it
RESOLVED, That the Board of Trustees of the Fine Arts Museums of
San Francisco does hereby authorize the Corporation of The Fine Arts Museums, as developer of the New de Young Museum, to expeditiously proceed with the construction of the New de Young Museum beginning with the demolition of the existing Museum buildings commencing on March 18, 2002.
On motion, duly seconded, there was no discussion among Trustees. There was no public testimony. The Executive Committee voted unanimously to adopt the above resolution as Board Resolution 1404.
Deborah Frieden, Director of the New de Young Project, distributed copies of the construction schedule noting that Phase 1 begins on Monday, March 18, 2002 with the separation of the de Young and Asian Art Museum buildings. During Phase 2 two weeks later, the single story de Young structure will be demolished. The tower is scheduled for demolition in mid-May during Phase 3, the final phase of the demolition. A construction fence now surrounds the site, and the palm trees will be removed and stored in Golden Gate Park in their own nursery setting created by the Recreation and Park Department. Each tree weighs approximately ten tons. It is planned that the removal of the palm trees will begin on May 1st and that it will take about one month to complete the move. Excavation is scheduled to commence in mid-June and will continue for five months until construction begins in December 2002.
Mr. Parker advised that some of the sculptures surrounding the de Young Museum are under the jurisdiction of the San Francisco Arts Commission. Following discussions with the Arts Commission, the sculptures were safely removed and are being stored in the Museums’ warehouse. The turtles from the Pool of Enchantment were relocated to a turtle rescue center in the East Bay. All works of art in the permanent collection were moved to the Interim de Young in South San Francisco last year. Efforts over the past two years to relocate the trellis in Oakes Garden within
Golden Gate Park or to another San Francisco park have not been successful. The trellis will be offered for sale at auction. It was pointed out that the contractor is responsible for providing security at the site.

Stipulations: The paintings will be accompanied by a FAMSF courier to and from Fresno. All related expenses will be paid by the requesting organization.
A motion was made and seconded to approve the loan request noted above. There was no discussion among Trustees or members of the public. The Executive Committee voted unanimously to approve the loan subject to the conditions stated.

B. Report on City Budget
At the request of Mr. Parker, Steve Dykes, Deputy Director for Administration and Finance, discussed the Museums’ appended City budget request for Fiscal Year 2002-03. The budget request continues to reflect a decrease in funding through the Hotel Tax Fund, which supports the City’s art and cultural organizations. In order to balance the Fiscal Year 2002-03 budget, four guard positions will be deleted by attrition or transfer in addition to the five frozen positions in the current budget.
Mr. Dykes emphasized that any further reductions in the guard force will not be feasible without compromising the security of the Museums’ sites.

C. Current and Future Exhibits
At the April 11, 2002 meeting of the Board of Trustees, Lynn Orr, Curator of European Art, will discuss Michael Sweerts: Traveling Artist of the 17th Century, which opens at the Legion of Honor on June 15, 2002 and runs through August 25, 2002. Eternal Egypt: Masterworks of Ancient Art from The British Museum will be exhibited at the Legion of Honor from August 10, 2002 through November 10, 2002. Renée Dreyfus, Curator of Ancient Art, will also be present at the April 11th meeting to discuss this exhibition.

D. Report on the McNeil Volunteer Recognition Awards
Mr. Parker announced that Carol and Robert McNeil have generously agreed to fund the fourth McNeil Volunteer Recognition Awards. At its meeting on March 12, 2002, the McNeil Volunteer Recognition Award Task Force selected the two award recipients for 2001, docent Margaret "Peggy" Gordon and volunteers Martha and Bob Olson. The recipients will be honored at the April 11, 2002 meeting of the Board of Trustees, at which time they will each present their proposed projects for $25,000 in funding to the Board of Trustees for approval.

Public Comment
Members of the public may address the Executive Committee on items not on the agenda that are within the subject matter jurisdiction of the Fine Arts Museums of San Francisco. Speakers may address the Executive Committee for up to three minutes; the President or the Executive Committee may limit the total comment to thirty minutes. There was no public comment.
