Calling of the Special Meeting to Order – Diane B. Wilsey, President

 

 

 

 

 

A special meeting of the Board of Trustees of the Fine Arts Museums of San Francisco was held on Thursday, November 17, 2005, in the Board Room of the Legion of Honor, Lincoln Park, San Francisco.  A quorum was present that being one-third of the number of Trustees in office.  The meeting was called to order at 4:45 p.m. by President Wilsey.

President Wilsey presided; Mrs. Gough acted as Secretary.

Report of the President – Diane B. Wilsey

 

 

Public Employee Appointment / Hiring:  Director of Museums / Closed Session to Appoint the New Director of Museums

A. Public Comment on All Matters Pertaining to the Closed Session

President Wilsey advised that the work of the Director of Museums Search Committee has been accomplished, and the Committee is pleased to present its recommendation for a new Director of Museums to the Board of Trustees today.  She pointed out that the San Francisco Administrative Code and the Brown Act allow for this discussion and the vote to appoint the new Director to be held in closed session.  President Wilsey stated that if the Board of Trustees votes to convene in closed session, all members of the public will be excused from the Board Room.  With the exception of Judy Gough, Executive Secretary, no other staff members were present.

President Wilsey stated that public comment would be taken at this time on all matters pertaining to the closed session before the Board if Trustees votes to convene in closed session.  There was no public comment.

B. Vote on Whether to Hold Closed Session to Appoint a New Director of Museums [San Francisco Administrative Code Section 67.10(b)]

A motion to convene in closed session was made and seconded.  There was no discussion among Trustees or members of the public.  The Board of Trustees voted unanimously to convene in closed session.  President Wilsey called the closed session to order at approximately 4:50 p.m. and reiterated that the closed session will specifically address the appointment of a new Director of the Fine Arts Museums of San Francisco.   With the exception of Executive Secretary Judy Gough, Deputy City Attorney Adine Varah, and Search Consultant Mark Oppenheim, no staff or members of the public were present.  The report of the Director of Museums Search Committee was presented. 

C. Closed Session Pursuant to Government Code Section 54957 and San Francisco Administrative Code Section 67.10(b)

1. Report of the Director of Museums Search Committee – Diane B. Wilsey, Chair of the Director of Museums Search Committee and President of the Board of Trustees

Consideration and Possible Action to Appoint a New Director of Museums of the Fine Arts Museums of San Francisco (City and County of San Francisco, Classification 3570, Director and Chief Curator of Museums)

D. Reconvene in Open Session

Possible Report on Action Taken in Closed Session [Government Code Section 54957 and San Francisco Administrative Code Section 67.12(b)(4)]

Following the closed session discussion at approximately 5:15 p.m., President Wilsey reconvened the meeting in open session.  She reported that during the closed session the Board of Trustees received the report of the Director of Museums Search Committee and voted to appoint a new Director of the Fine Arts Museums of San Francisco, who will succeed Harry S. Parker III following his retirement on December 31, 2005. 

On motion, duly seconded, there was no discussion by Trustees.  There was no public testimony.  The Board of Trustees voted unanimously to disclose the name of the new Director of the Fine Arts Museums of San Francisco.  With great pleasure, President Wilsey then announced the appointment of John E. Buchanan, Jr., as Director of the Fine Arts Museums of San Francisco effective February 1, 2006.  Mr. Buchanan has served as the Director of the Portland Art Museum for the past fifteen years.


Vote to Elect Whether to Disclose Any or All Discussions Held in Closed Session [San Francisco Administrative Code Section 67.12(a)]

President Wilsey then advised that the Board would now consider whether to disclose any or all discussions pertaining to the closed session.  On motion, duly seconded, there was no discussion among the Trustees.  There was no public testimony.  The Board of Trustees voted unanimously not to disclose any of the discussions pertaining to the closed session.

E.
Consideration and Possible Action to Adopt a Resolution of Appreciation to the Director of Museums Search Committee of the Corporation of the Fine Arts Museums for Conducting a Professional Search and for Recommending a Qualified Candidate to the Board of Trustees

President Wilsey presented the following resolution of appreciation to the Director of Museums Search Committee:

WHEREAS, In January 2005, a Director of Museums Search Committee was appointed to identify a new Director of Museums following the retirement of Harry S. Parker III, Director of Museums, at the end of 2005; and

WHEREAS, The Corporation of the Fine Arts Museums (COFAM) offered in March 2005 to identify and retain a professional search firm to assist in the recruitment,  screening, and review of potential candidates for the Director of Museums position consistent with the Fine Arts Museums’ position description and qualifications and to present the final candidate to the Board of Trustees of the Fine Arts Museums of San Francisco (FAMSF) for review and approval; and

WHEREAS, The Search Committee, with the assistance of the search firm Phillips Oppenheim, has successfully recruited an outstanding candidate, John E.  Buchanan, Jr., to be the next Director of the Fine Arts Museums of San Francisco effective February 1, 2006; now, therefore, be it

RESOLVED, That the FAMSF Board of Trustees does hereby expresses its gratitude to the COFAM Board of Trustees for its assistance in the recruitment of a new Director of Museums; and, be it

FURTHER RESOLVED, That the FAMSF Board of Trustees extends its deepest appreciation to the Search Committee and Phillips Oppenheim for their arduous efforts in successfully recruiting John E. Buchanan, Jr., to be the next Director of Museums; and, be it

  FURTHER RESOLVED, That the FAMSF Board of Trustees offers its sincere congratulations for a job well done.

On motion, duly seconded, there was no discussion among Trustees.  There was no public testimony.  The Board of Trustees voted unanimously to adopt the above resolution as Board Resolution 1590.

 

V.

Public Comment

Members of the public may address the Board of Trustees on items not on the agenda that are within the subject matter jurisdiction of the Fine Arts Museums of San Francisco. Speakers may address the Board for up to three minutes; the President or the Board of Trustees may limit total comments to thirty minutes.  There was no public comment.
