Calling of the Meeting to Order – Diane B. Wilsey, President

 

 

 

A meeting of the Executive Committee of the Board of Trustees of the Fine Arts Museums of San Francisco was held on Thursday, September 15, 2005, in the Piazzoni Murals Room, de Young, Golden Gate Park, 50 Hagiwara Tea Garden Drive, San Francisco.  A quorum being present, the meeting was called to order at 12:35 p.m. by Diane B. Wilsey, President.  President Wilsey welcomed the Executive Committee to its first meeting at the de Young.

President Wilsey presided; Mrs. Gough acted as Secretary.

A. Consideration and Possible Action to Approve the Minutes of the June 2, 2005Meeting of the Board of Trustees

There being no discussion among the Trustees or members of the public, the minutes of the June 2, 2005 meeting of the Board of Trustees, having been mailed in advance to all Trustees, were unanimously approved.

 

B. Consideration and Possible Action to Adopt a Resolution Rescinding Board Resolution 1539 Naming the Joan Diehl McCauley Objects Conservation Center in the New de Young Museum and Naming the Joan Diehl McCauley Textile Study Center

President Wilsey presented the following resolution rescinding Board Resolution 1539 to allow a change in name for the Objects Conservation Center and the naming of the Textile Study Center in the new de Young:

WHEREAS, At its meeting on December 9, 2004, the Executive Committee of the Board of Trustees of the Fine Arts Museums of San Francisco adopted Board Resolution 1539 naming the Joan Diehl McCauley Objects Conservation Center in the new de Young museum in honor of decedent Joan Diehl McCauley; and

WHEREAS, It is proposed that Board Resolution 1539 be rescinded and that the Textile Study Center in the new de Young be named in honor of Joan Diehl McCauley; now, therefore, be it

RESOLVED, That the Board of Trustees does hereby rescind Board Resolution 1539 naming the Joan Diehl McCauley Objects Conservation Center;
and, be it

FURTHER RESOLVED, That the Board of Trustees, in accordance with the Museums’ donor recognition policy, does hereby name the Joan Diehl McCauley Textile Study Center in honor of decedent Joan Diehl McCauley.

On motion, duly seconded, there was no discussion among the Trustees.  There was no public testimony.  The Executive Committee of the Board of Trustees voted unanimously to adopt the above resolution as Board Resolution 1572.

 

C. Consideration and Possible Action to Adopt a Resolution Honoring Penny and James Coulter for Their Generosity in Support of the New de Young Museum in Golden Gate Park and Naming the Penny and James Coulter Objects Conservation Center in the New de Young Museum

President Wilsey acknowledged with gratitude the generosity of many donors in support of the New de Young Museum in Golden Gate Park.  In accordance with the Museums’ donor recognition policy, it is important  at this time to recognize donors who have made significant gifts to the New de Young and to name certain spaces in the Museum in their honor.

President WIlsey presented the following resolution:

WHEREAS, The building of the new de Young museum in Golden Gate Park is the highest institutional priority of the Board of Trustees; and

WHEREAS, The Museums have called upon individuals, deeply committed to philanthropy and the public good, to achieve the ambitious Capital Campaign goal to fund the new de Young museum through private sources; and

WHEREAS, Penny and James Coulter generously provided funds for the Objects Conservation Center in the new de Young museum; now, therefore, be it

RESOLVED, That the Board of Trustees, in accordance with the Museums’ donor recognition policy, does hereby name the Penny and James Coulter Objects Conservation Center in the new de Young museum in honor of Penny and James Coulter; and, be it

FURTHER RESOLVED, That the Board of Trustees expresses its lasting gratitude to Penny and James Coulter for their extraordinary generosity in support of the new de Young museum, which will enhance the cultural opportunities presented to the citizens of San Francisco and the Bay Area for generations to come.

On motion, duly seconded, there was no discussion among the Trustees.  There was no public testimony.  The Executive Committee of the Board of Trustees voted unanimously to adopt the above resolution as Board Resolution 1573.

 

D. Consideration and Possible Action to Adopt a Resolution Honoring Sanford and Helen Diller for Their Generosity in Support of the New de Young Museum in Golden Gate Park and Naming the Helen Diller Family Courtyard in the New de Young Museum

President Wilsey presented the following resolution:

WHEREAS, The building of the new de Young museum in Golden Gate Park is the highest institutional priority of the Board of Trustees; and

WHEREAS, The Museums have called upon individuals, deeply committed to philanthropy and the public good, to achieve the ambitious Capital Campaign goal to fund the new de Young museum through private sources; and

WHEREAS, Sanford and Helen Diller generously provided funds for the Courtyard of the new de Young museum; now, therefore, be it

RESOLVED, That the Board of Trustees, in accordance with the Museums’ donor recognition policy, does hereby name the Helen Diller Family Courtyard in the new de Young museum in honor of Sanford and Helen Diller; and, be it

FURTHER RESOLVED, That the Board of Trustees expresses its lasting gratitude to Sanford and Helen Diller for their extraordinary generosity in support of the new de Young museum, which will enhance the cultural opportunities presented to the citizens of San Francisco and the Bay Area for generations to come.

On motion, duly seconded, there was no discussion among the Trustees.  There was no public testimony.  The Executive Committee voted unanimously to adopt the above resolution as Board Resolution 1574.

 

E. Consideration and Possible Action to Adopt a Resolution Honoring Lorna F. Meyer and Dennis M. Calas for Their Generosity in Support of the New de Young Museum in Golden Gate Park and Naming the Lorna F. Meyer and Dennis M. Calas Exhibition Design Office in the New de Young Museum

President Wilsey presented the following resolution:

WHEREAS, The building of the new de Young museum in Golden Gate Park is the highest institutional priority of the Board of Trustees; and

WHEREAS, The Museums have called upon individuals, deeply committed to philanthropy and the public good, to achieve the ambitious Capital Campaign goal to fund the new de Young museum through private sources; and

WHEREAS, Lorna F. Meyer and Dennis M. Calas generously provided funds for the Exhibition Design Office in the new de Young museum; now, therefore, be it

RESOLVED, That the Board of Trustees, in accordance with the Museums’ donor recognition policy, does hereby name the Lorna F. Meyer and Dennis M. Calas Exhibition Design Office in the new de Young museum in honor of Lorna F. Meyer and Dennis M. Calas; and, be it

FURTHER RESOLVED, That the Board of Trustees expresses its lasting gratitude to Lorna F. Meyer and Dennis M. Calas for their extraordinary generosity in support of the new de Young museum, which will enhance the cultural opportunities presented to the citizens of San Francisco and the Bay Area for generations to come.

F. Consideration and Possible Action to Adopt a Resolution Honoring Jacqueline and Robert Young for Their Generosity in Support of the New de Young Museum in Golden Gate Park and Naming the Jacqueline and Robert Young Gallery in the New de Young Museum

President Wilsey presented the following resolution:

WHEREAS, The building of the new de Young museum in Golden Gate Park is the highest institutional priority of the Board of Trustees; and

WHEREAS, The Museums have called upon individuals, deeply committed to philanthropy and the public good, to achieve the ambitious Capital Campaign goal to fund the new de Young museum through private sources; and

WHEREAS, Jacqueline and Robert Young generously provided funds for a gallery in the new de Young museum; now, therefore, be it


RESOLVED, That the Board of Trustees, in accordance with the Museums’ donor recognition policy, does hereby name the Jacqueline and Robert Young Gallery of the new de Young museum in honor of Jacqueline and Robert Young; and

FURTHER RESOLVED, That the Board of Trustees expresses its lasting gratitude to Jacqueline and Robert Young for their extraordinary generosity in support of the new de Young museum, which will enhance the cultural opportunities presented to the citizens of San Francisco and the Bay Area for generations to come.

On motion, duly seconded, there was no discussion among the Trustees.  There was no public testimony.  The Executive Committee voted unanimously to adopt the above resolution as Board Resolution 1576.

 

G. Consideration and Possible Action to Adopt a Resolution Setting the Dates of the 2006 Executive Committee Meetings

President Wilsey introduced the following resolution setting the dates, times, and locations of the 2006 meetings of the Executive Committee:

RESOLVED, That the Executive Committee of the Board of Trustees of the Fine Arts Museums of San Francisco does hereby set the following dates, times and locations for its 2006 regular meetings.

G. Report on the Golden Gate Park Concourse Authority Underground   Parking Facility

1. Report on the June 13, 2005 Ruling of Judge James L. Warren in Favor of the City and County of San Francisco on All Claims but One Filed by Katherine Roberts, Trees Not Cars, and Save Golden Gate Park, Regarding a Dedicated Access Route to the Southern Entrance-Exit of the Underground Parking Garage, and the November 2005 Ballot Measure, Proposition G, to Address the One Claim by Amending the Park Code to Ensure that No More Than One Lane of Motor Vehicle Traffic Is Allowed in Each Direction on Ninth Avenue and Martin Luther King Jr. Drive between Lincoln Avenue and Concourse Drive,  and Amending Proposition J, the Golden Gate Park Revitalization Act of 1998, Which Authorized the Construction of an Underground Parking Facility, to Clarify the Language of the Act to Allow the Golden Gate Park Concourse Authority Underground Parking Facility to Utilize an Entrance-Exit Located Inside the Park Without the Creation of Dedicated Access Lanes

President Wilsey reported that San Francisco Superior Court Judge James L. Warren ruled on June 13th in favor of the City and County of San Francisco on all claims but one filed by Katherine Roberts, Trees Not Cars, and Save Golden Gate Park, regarding the southern entrance and exit inside Golden Gate Park for the Concourse underground parking garage in front of the Academy of Sciences.  The one unresolved claim involves the matter of one lane of motor vehicle traffic allowed in each direction on 9th Avenue and Martin Luther King Jr. Drive between Lincoln Avenue and Concourse Drive.  Proposition J, the Golden Gate Park Revitalization Act of 1998, which authorized the construction of an underground parking facility, is not clear on this point.  Therefore, Proposition G, has been placed on the November 2005 ballot to address this issue by amending the Park code to ensure that no more than one lane of motor vehicle traffic is allowed in each direction on 9th Avenue and Martin Luther King, Jr. Drive between Lincoln Avenue and Concourse Drive, and amending Proposition J, to allow the Concourse Underground Parking Facility to utilize an entrance-exit located inside the park without the creation of dedicated access lanes.

A motion was made and seconded to approve the loan requests noted above.  There was no discussion among Trustees.  There was no public testimony.  The Board of Trustees voted unanimously to approve the loans subject to the conditions stated.

 

B. City Budget

Mr. Parker reported that the Museums’ FY 2005-06 City budget request was approved, which included more than 50 additional guard and maintenance positions necessary to open the de Young on October 15, 2005. This significant increase in operating expense of approximately $3.5 million required the understanding and support of the Mayor and Board of Supervisors to allocate the additional funding necessary to open the New de Young during a difficult economic period for the City. 

 

C.Current and Future Exhibits

Mr. Parker discussed Hatshepsut:  From Queen to Pharoah, the de Young’s inaugural exhibition, which opens on October 15th, and runs through February 5, 2006.  The exhibition has been organized by the Fine Arts Museums of San Francisco and The Metropolitan Museum of Art, New York.  Hatshepsut, organized by Ren
ée Dreyfus, Curator of Ancient Art, is expected to be a popular show and to signal the
de Young’s return as a venue for major international exhibitions.

1. Consideration and Possible Action to Adopt a Resolution of Appreciation to the Federal Indemnification Panel and Indemnity Administrator Alice Whelihan

Mr. Parker advised that the Museums applied for and received Federal Indemnification funds for Hatshepsut, noting that the Federal Indemnification Panel canceled the de Young’s participation in the indemnification program in 1997 due to seismic risk concerns.  He introduced the following resolution of appreciation to the Panel and Indemnity Administrator Alice Whelihan for granting the de Young’s return to indemnification eligibility, which is essential to the insurance of international exhibitions.

WHEREAS, The October 17, 1989 Loma Prieta Earthquake damaged the former de Young Museum, and

WHEREAS, The seismic instability of the building placed the collections, visitors, staff, and future exhibitions in jeopardy causing the Museums to install braces around the old de Young building; and

WHEREAS, In response to the seismic risk, publicly acknowledged by the Board of Trustees and staff of the Fine Arts Museums of San Francisco, the Federal Indemnification Panel in June 1997 canceled the de Young’s participation in the indemnification program, which is essential to the insurance of international exhibitions; and

WHEREAS, The President of the Board of Trustees led an unprecedented
fund-raising effort to rebuild the de Young on the same site in Golden Gate Park; and

WHEREAS, For the opening of the new de Young, the Museums applied for
and received Federal indemnification funds for the de Young’s inaugural exhibition,  Hatshepsut:  From Queen to Pharoah, a major, international show; now, therefore, be it

RESOLVED, That the Board of Trustees does hereby express its sincere appreciation to the Federal Indemnification Panel and Indemnity Administrator Alice Whelihan for granting the de Young’s return to indemnification eligibility; and, be it

FURTHER RESOLVED, That the loss and subsequent reinstatement of indemnification eligibility to the de Young underscores the importance of the civic and private effort to restore the de Young’s international role in creating and receiving distinguished exhibitions of worldwide significance.

On motion, duly seconded, there was no discussion among the Trustees.  There was no public testimony.  The Executive Committee voted unanimously to adopt the above resolution as Board Resolution 1578.

  V.

Public Comment

Members of the public may address the Executive Committee on items that
are within the subject matter jurisdiction of the Fine Arts Museums of San Francisco.  Speakers may address the Executive Committee for up to three minutes; the President
or the Executive Committee may limit the total comment to thirty minutes.  The following individual gave public comment.

Tomasita Medál thanked and congratulated the Trustees for making the
de Young happen.  She commended Bon Appetit, noted that the Piazzoni Murals have never looked better, and stated that the entire museum is fabulous.  The Executive Committee expressed sincere appreciation to Ms. Medál with a round of applause.
