Calling of the Meeting to Order – Diane B. Wilsey, President

 

 

 

 

 

A meeting of the Board of Trustees of the Fine Arts Museums ofSan Francisco was held on Thursday, April 12, 2007, in the Piazzoni Murals Room of the de Young Museum, Golden Gate Park, San Francisco.  A quorum was present that being one-third of the number of Trustees in office.  President Wilsey called the meeting to order at 3:20 p.m.   New Trustee Carl Pascarella was welcomed to his first meeting.

President Wilsey presided; Mrs. Gough acted as Secretary.

Report of the President – Diane B. Wilsey

 

 

A. Consideration and Possible Action to Approve the Minutes of the March 8, 2007 Meeting of the Executive Committee of the Board of Trustees

There being no discussion among the Trustees or members of the public, the minutes of the March 8, 2007 meeting of the Executive Committee of the Board of Trustees, having been mailed in advance to all Trustees, were unanimously approved. 

 

 

B. Report on the Cancellation of the May 10, 2007 Meeting of the Executive Committee of the Board of Trustees

President Wilsey advised that the regularly scheduled May 10, 2007 meeting of the Executive Committee of the Board of Trustees will be cancelled.

Report of the Director – John E. Buchanan, Jr.

 

 

Consideration and Possible Action to Approve Requests for Loans of Art

Mr. Buchanan presented the following requests for loans of art:

Stipulations:Release of artwork subject to receipt and review of facilities with confirmation that the Musée can meet FAMSF’s standard requirements.  Musée Malraux courier to accompany painting from Cleveland to Le Havre along with their own painting after exhibition closes in Cleveland 5/20/07.  FAMSF courier required for return from Le Havre to San Francisco.

Stipulations: The paintings must be accompanied by a FAMSF courier to Montpellier and return to San Francisco from Grenoble, and must be part of a couriered shipment between venues.  FAMSF must be given notice four weeks in advance of specific shipping arrangements between venues and FAMSF reserves the right to have a FAMSF courier between venues if deemed necessary.  Immunity from seizure must be obtained before paintings travel.  All related expenses will be paid by the requesting organization.

Mr. Buchanan requested the Board’s approval of this loan with the condition that the Musée Fabre grant the Fine Arts Museums’ request for a painting by Berthe Morisot for the exhibition, Les Femmes Impressionnistes:  Mary Cassatt, Berthe Morisot, Eva Gonzalès, Marie Bracquemond, which opens at the Legion of Honor on June 21, 2008 and runs through September 21, 2008.  In response to a question raised, Mr. Buchanan confirmed that the valuations for these loans were current.

A
motion was made and seconded to approve the loan requests noted above with the condition associated with the loan to the Musée Fabre as stated by Mr. Buchanan.  There was no discussion among Trustees or members of the public.  The Board of Trustees voted unanimously to approve the loan subject to the conditions stated.

 

 

B. Consideration and Possible Action to Adopt a Resolution Acknowledging Funding Expended by the Corporation of the Fine Arts Museums During the Period October 1 through December 31, 2006

The City’s Sunshine Ordinance requires the Fine Arts Museums to disclose the amount and source of all gifts received.  Mr. Buchanan presented the following resolution, which acknowledges funding expended by the Corporation of the Fine Arts Museums for the period October 1 through December 31, 2006:

WHEREAS, The Corporation of the Fine Arts Museums is a 501(c)(3) not-for-profit corporation that exists to support the activities of the Fine Arts Museums of San Francisco; now, therefore, be it

RESOLVED, That the Board of Trustees of the Fine Arts Museums of San Francisco does hereby acknowledge with gratitude funding in the amount of $6,888,014 expended by the Corporation of the Fine Arts Museums for operations during the period October 1 through December 31, 2006.

On motion, duly seconded, there was no discussion among Trustees.  There was no public testimony.  The Board of Trustees voted unanimously to adopt the above resolution as Board Resolution 1620.

 

 

C. Consideration and Possible Action to Adopt a Resolution Acknowledging the Bequests of Funds Received During the Period October 1 through December 31, 2006

In accordance with the City’s Sunshine Ordinance, bequests received by the Fine Arts Museums must also be disclosed.  Mr. Buchanan introduced the following resolution acknowledging the following bequests of funds received by the Museums during the period October 1 through December 31, 2006:

RESOLVED, That the Board of Trustees of the Fine Arts Museums of San Francisco does hereby acknowledge that the following bequests of funds were received during the period October 1 through December 31, 2006:

Estate of Evelyn R. Erickson, $10,125 to the de Young Museum and $10,125 to the Legion of Honor
Elizabeth F. Wallace 1966 Trust, $47,479
William S. Bason Revocable Trust, $50,509

On motion, duly seconded, there was no discussion among Trustees.  There was no public testimony.  The Board of Trustees voted unanimously to adopt the above resolution as Board Resolution 1621.

 

V.

Public Comment

Members of the public may address the Board of Trustees on items not on the agenda that are within the subject matter jurisdiction of the Fine Arts Museums of San Francisco.  Speakers may address the Board for up to three minutes; the President or the Board of Trustees may limit total comments to thirty minutes.  There was no public comment.
