Calling of the Meeting to Order and Welcome New Members Kathryn Lasater and Monica Maduro – Diane B. Wilsey, President

 

 

 

A meeting of the Executive Committee of the Board of Trustees of the Fine Arts Museums of San Francisco was held on Thursday, September 13, 2007, in the Piazzoni Murals Room, de Young Museum, Golden Gate Park, San Francisco. A quorum being present, the meeting was called to order at 3:20 p.m. by Diane B. Wilsey, President.

President Wilsey welcomed Trustees Kathryn Lasater and Monica Maduro who were attending their first Executive Committee meeting.

President Wilsey presided; Mrs. Gough acted as Secretary.

Report of the President – Diane B. Wilsey

 

 

 

A. Consideration and Possible Action to Approve the Minutes of the June 21, 2007 Meeting of the Board of Trustees

There being no discussion among the Trustees or members of the public, the minutes of the June 21, 2007 meeting of the Board of Trustees, having been mailed in advance to all Trustees, were unanimously approved.

 

 

 

B. Consideration and Possible Action to Accept the Resignation of Gwen Chan, Former Interim Superintendent of the San Francisco Unified School District, from the Board of Trustees

President Wilsey noted with regret that Trustee Gwen Chan, who served on the Board of Trustees in her role as Interim Superintendent, San Francisco Unified School District (SFUSD), has submitted her resignation.  Carlos Garcia was recently appointed SFUSD Superintendent.

On motion, duly seconded, there was no discussion among the Trustees. There was no public testimony.  The Executive Committee voted unanimously to accept the resignation of Gwen Chan from the Board of Trustees.

 

 

 

C. Consideration and Possible Action to Set the Dates of the 2008 Executive Committee Meetings

President Wilsey presented the following resolution setting the dates, times and locations of the 2008 meetings of the Executive Committee:

RESOLVED, That the Executive Committee of the Board of Trustees of the Fine Arts Museums of San Francisco does hereby set the following dates, times, and locations for its 2008 regular meetings:

A. Consideration and Possible Action to Approve Loan Requests

Mr. Buchanan presented the following loan requests:

The first two venues were previously approved by the Board of Trustees on January 25, 2007; the loan was resubmitted to the Executive Committee for approval due to the addition of the third venue, Grey Art Gallery, New York University, New York.

Stipulations: The paintings must be accompanied by a FAMSF courier from San Francisco to Taos, New Mexico, and from New York to San Francisco, and must be part of a couriered shipment between venues.  All related expenses will be paid by the requesting organization.

The loan of this object was previously approved by the Board of Trustees on June 21, 2007.  Due to its increased valuation, it was resubmitted to the Executive Committee for approval.

Stipulations: Because of high values and fragility, the objects must be accompanied by a FAMSF courier to Los Angeles and return to San Francisco.  FAMSF conservators must supervise installation, deinstallation and packing of each object.  Borrower agrees to cover costs for conservation of the objects.  All related expenses will be paid by the requesting organization.

A motion was made and seconded to approve the six loan requests noted above.  There was no discussion among Trustees.  There was no public testimony.  The Executive Committee voted unanimously to approve the loans subject to the conditions stated.

 

 

 

B. Consideration and Possible Action to Adopt a Resolution to Transfer Funds in the Admission Fund for the Fiscal Year 2007-08

Mr. Buchanan introduced the following resolution to transfer funds in the admission fund for fiscal year 2007-08 to reimburse COFAM for expenses incurred on behalf of the Museums.

RESOLVED, That the Board of Trustees of the Fine Arts Museums of San Francisco does hereby authorize the Controller of the City and County of San Francisco to transfer monthly excess revenue over monthly admission operating expenses in the Admission Fund (2S CRF RPD) Index Code 615001 to Project PFAADM, Index Code 615001 on a monthly basis for the Fiscal Year 2007-08;
and, be it

FURTHER RESOLVED, That the funds in project PFAADM are to be used to reimburse the Corporation of the Fine Arts Museums for expenses incurred on behalf of the Museums.

On motion, duly seconded, there was no discussion among the Trustees.  There was no public testimony.  The Executive Committee voted unanimously to adopt the above resolution as Board Resolution 1628.

 

 


V.

Public Comment

Members of the public may address the Executive Committee on items that are within the subject matter jurisdiction of the Fine Arts Museums of San Francisco.  Speakers may address the Executive Committee for up to three minutes; the President or the Executive Committee may limit the total comment to thirty minutes.  One individual provided public comment:

Mr. Daniel Levenstein, Director of Chamber Music San Francisco, who spoke at the June 21, 2007 meeting of the Board of Trustees, addressed the Executive Committee.  He expressed gratitude for the roll-back of Florence Gould Theater rental rates at the Legion of Honor for non-profit organizations.

Adjournment in Memory of President Emeritus Leonard E. Kingsley – Diane B. Wilsey, President

There being no further business, President Wilsey adjourned the meeting at 3:35 p.m. in memory of President Emeritus Leonard E. Kingsley, a devoted friend and supporter of the Fine Arts Museums of San Francisco, who passed away on August 11, 2007.
