    A meeting of the Executive Committee of the Board of Trustees of the Fine Arts Museums of San Francisco was held on Thursday, May 10, 2001, in the 6th Floor Conference Room of the Museums’ Administrative Offices at 233 Post Street,

San Francisco. A quorum being present, the meeting was called to order at 12:25 p.m. by Diane B. Wilsey, President. President Wilsey welcomed Trustee Robert P. Morrow III to his first meeting as a new member of the Executive Committee. Trustee Morrow is the Museums’ new Vice President for Finance.

    President Wilsey presided; Mrs. Gough acted as Secretary.

A. Consideration and Possible Action to Approve the Minutes of the April 12, 2001 Meeting of the Board of Trustees

   
 

There being no discussion among the Trustees or members of the public, the minutes of the April 12, 2001 meeting of the Board of Trustees, having been mailed in advance to all Trustees, were unanimously approved.

 

B. Consideration and Possible Action to Adopt a Resolution to Approve the April 20, 2001 Report of the Acquisitions Committee of The Fine Arts Museums Foundation; Accept the Works of Art Acquired through Purchase, Donation and Bequest as Gifts from The Fine Arts Museums Foundation; Approve the Resolution Recommending First Step Deaccessioning for the Ovila Portal in the M. H. de Young Memorial Museum as an Initial Step Towards the Transfer of the Ovila Portal from the Fine Arts Museums of

    San Francisco to the University of San Francisco; Amend the Resolution Waiving Second Step Deaccessioning for Works of Art Recommended for First Step Deaccessioning by the Acquisitions Committee at its Meetings on September 26, 2000, December 1, 2000, and April 20, 2001 to Include the June 1, 2001 Acquisitions Committee Meeting; Approve the Resolution to Sell Works of Art on Loan to the Fine Arts Museums of San Francisco in Accordance with the California Abandoned Property Statute; Approve the Works of Art Recommended for First Step Deaccessioning Set Forth in Appended Lists A and B; and Approve the Deaccessioning Statement dated March 6, 2001

    1. Purchases - Acceptance of Gifts of Works of Art from The Fine Arts

    Museums Foundation

    Chair Merriam reported that a sculpture, Untitled, 1998, by Doris Salcedo was recommended by the Acquisitions Committee for purchase for the New de Young Museum. The following purchases were also recommended: a) Pool of Enchantment, 1999, a three screen video installation by Harrell Fletcher and Jon Rubin; b) two paintings by Cleve Gray, Carrion, 1940, and Reverend Quan Duc, 1963; c) twenty-six works of art for the Prints and Drawings collection; and d) six objects for the Textiles collection. A motion was made and seconded to approve and accept these purchases listed as Items 1 through 31a-f on pages 2980 through 2983 of Appendix I of these minutes as gifts to the Museums offered by The Fine Arts Museums Foundation. There was no discussion among Trustees. There was no public testimony. The Executive Committee voted unanimously to approve and accept these purchases.

    2. Gifts Offered to the Museums

    Chair Merriam particularly noted several gifts: a) Mantelpiece for Thurlow Lodge, Menlo Park, Menlo Park, California, Residence of Milton Slocum Latham (1827-1882) Family, ca. 1872-73, by Herter Brothers; b) Moon and Two Figures, 1952, by Rufino Tamayo; c) William Burroughs, Lawrence, Kansas, 1990, by Gottfried Helnwein; d) Cane, 2000, by artist Martin Puryear, published by Arion Press, authored by Jean Toomer;

e) a major gift of artist illustrated books for the Reva and David Logan collection of illustrated books; and f) three objects, Baby Carrier, Hat, and Jacket, for the Textiles collection. A motion was made and seconded to approve and accept the gifts offered to the Museums. There was no discussion among Trustees. There was no public testimony. The Executive Committee voted unanimously to approve and accept with sincere thanks to all donors the gifts listed in Appendix I, pages 2984 through 2989.

    It was announced that Dr. Peter Selz, a long-standing member of the Acquisitions Committee, has stated his intention to donate his library as a promised gift to the New

de Young Museum. Dr. Selz’s library consists of approximately 15,000 art books, catalogues and ephemera.

    3. Bequest Offered to the Museums

    A motion was made and seconded to approve and accept the work of art bequeathed to the Museums listed on page 2990 of Appendix I of these minutes. There was no discussion among Trustees. There was no public testimony. The Executive Committee voted unanimously to approve and accept the work of art bequeathed to the Museums.

    4. Resolution Recommending First Step Deaccessioning for the Ovila Portal in the M. H. de Young Memorial Museum as an Initial Step Towards the Transfer of the Ovila Portal from the Fine Arts Museums of San Francisco to the University of San Francisco

    Chair Merriam advised that the Acquisitions Committee has considered the deaccessioning of the Ovila Portal in Hearst Court at the de Young Museum at length at its recent meetings. He noted that the plans for the New de Young Museum do not include the reinstallation of the Ovila portal. In 1994, following approval by the Board of Trustees of the Fine Arts Museums, the Museums and the Abbey of New Clairvaux, located in Vina, California, reached agreement to transfer the monastery stones of the Chapter House of Santa Maria de Ovila to the Abbey. Several months ago, the Abbey expressed interest in acquiring the Ovila portal. In keeping with the procedures followed with the transfer of the monastery stones, the Museums notified six San Francisco public or nonprofit institutions that the Ovila portal will soon be available and requested the organizations to respond if they were interested in acquiring it.

    Of the six institutions contacted (the Archdiocese of San Francisco, the Episcopal Diocese of California, the Recreation and Park Department of the City and County of

San Francisco, the San Francisco Redevelopment Agency, San Francisco State University, and the University of San Francisco), one institution, the University of San Francisco, expressed serious interest in the Ovila portal and requested to be considered as a potential site for it.

    The San Francisco Administrative Code (Section 2A.155.10.c) covers the transfer of works of art. The code requires that works of art of San Francisco historical or other interest be offered first to San Francisco public or nonprofit institutions. Clearly, the Ovila portal should ideally remain in San Francisco and be available to the public for viewing, given its historical connection to William Randolph Hearst, the City of San Francisco, and the long tradition of journalistic and public interest in the monastery stones of the Santa Maria de Ovila.

    The Acquisitions Committee unanimously recommended to the Board of Trustees approval of first step deaccessioning for the Ovila portal as an initial step towards its transfer from the Museums to the University of San Francisco. A motion was made and seconded to adopt the resolution on pages 2991 and 2992 of Appendix I of these minutes to this effect. There was no discussion among Trustees. There was no public testimony. The Executive Committee voted unanimously to adopt the resolution on pages 2991 and 2992 of Appendix I of these minutes approving first step deaccessioning of the Ovila portal in the de Young Museum as an initial step towards the transfer of the Ovila portal from the Fine Arts Museums of San Francisco to the University of San Francisco.

    5. Amendment of the Resolution Waiving Second Step Deaccessioning for Works of Art Recommended for First Step Deaccessioning by the Acquisitions Committee at its Meetings on September 26, 2000, December 1, 2001, and April 20, 2001 to Include the June 1, 2001 Acquisitions Committee Meeting

    Efforts continue to identify works of art no longer suitable to the de Young Museum collections to be proposed for first step deaccessioning. Additional objects will be submitted for first step deaccessioning consideration at the next Acquisitions Committee meeting scheduled for June 1, 2001. Consequently, the resolution adopted at the December 14, 2000 meeting of the Executive Committee of the Board of Trustees, waiving second step deaccessioning for works of art recommended for first step deaccessioning by the Acquisitions Committee at its meetings on September 26, 2000, December 1, 2000, and April 20, 2001, was recommended for amendment to include the June 1, 2001 meeting. A motion was made and seconded to adopt the amended resolution. There was no discussion among Trustees. There was no public testimony. The Executive Committee voted unanimously to amend the resolution adopted at the December 14, 2000 meeting to include the June 1, 2001 Acquisitions Committee meeting as stated on page 2993 of Appendix I of these minutes.

    6. Resolution to Sell Works of Art on Loan to the Fine Arts Museums of

    San Francisco in Accordance with the California Abandoned Property Statute

    Upon the recommendation of the Acquisitions Committee, a motion was made and seconded to approve the resolution for the sale of works of art on loan to the Fine Arts Museums in accordance with the California Abandoned Property Statute. There was no discussion among Trustees. There was no public testimony. The Executive Committee voted unanimously to approve the resolution on page 2994 of Appendix I of these minutes.

    7. Deaccessioning - Step 1 / List A and List B

    A motion to approve first step deaccessioning was made and seconded for the works of art listed on pages 2995 and 2996 of Appendix I of these minutes as follows:

    List B

    There was no discussion among Trustees. There was no public testimony. The Executive Committee voted unanimously to approve first step deaccessioning for the works of art included in Lists A and B on pages 2995 and 2996 of Appendix I of these minutes, and acknowledged the significance of the deaccessioning effort in preparation for the move of the de Young Museum collections and staff to the interim de Young Collection Management Center this summer.

    8. Deaccessioning Statement

    A motion was made and seconded to approve the Deaccessioning Statement dated March 6, 2001, which will be published in the June 25-26, 2001 Butterfields’ auction catalogue. There was no discussion among Trustees. There was no public testimony. The Executive Committee voted unanimously to approve the Deaccessioning Statement on pages 2997 and 2998 of Appendix I of these minutes. The Museums’ active Trustees, Acquisitions Committee members, the Director, the curatorial staff and their immediate families are prohibited from purchasing any deaccessioned works. Invitations will be mailed shortly to an auction preview on Sunday, June 24, 2001, from 5 to 7 p.m. at Butterfields.

    9. Purchases Reported for the Record

    These objects are listed in Appendix I of these minutes, page 2999.

    Chair Merriam presented the following resolution:

    RESOLVED, That the Board of Trustees of the Fine Arts Museums of

San Francisco does hereby approve the appended April 20, 2001 Report of the Acquisitions Committee of The Fine Arts Museums Foundation including the works of art acquired through purchase, donation and bequest as gifts from The Fine Arts Museums Foundation; the resolution recommending first step deaccessioning for the Ovila portal in the M. H. de Young Memorial Museum as an initial step towards the transfer of the Ovila portal from the Fine Arts Museums of San Francisco to the University of San Francisco; the amendment of the resolution waiving second step deaccessioning for works of art recommended for first step deaccessioning by the Acquisitions Committee at its meetings on September 26, 2000, December 1, 2001, and April 20, 2001 to Include the June 1, 2001 Acquisitions Committee meeting; the resolution to sell works of art on loan to the Fine Arts Museums of San Francisco in accordance with the California Abandoned Property Statute; the works of art recommended for first step deaccessioning set forth in the appended Lists A and B; and the Deaccessioning Statement dated March 6, 2001.

    A motion was made and seconded. There was no discussion among Trustees. There was no public testimony. The Executive Committee voted unanimously to adopt the above resolution as Board Resolution 1374.

 

    C. Report on Recent Developments Regarding the Plans to Build a New de Young Museum in Golden Gate Park

    President Wilsey advised that there were no new developments to report at this time.

 

D. Report on the Appointment of an Ad Hoc Committee to Evaluate the Director of the Fine Arts Museums of San Francisco

    President Wilsey announced that the Ad Hoc Committee to evaluate the Director of the Fine Arts Museums will convene immediately following the Executive Committee meeting. Mr. Parker’s three-year contract expires on June 30, 2001. Trustees George Hecksher, J. Burgess Jamieson, Diane B. Lloyd-Butler, Shelagh Rohlen, and Lonna Wais serve on the Ad Hoc Committee chaired by President Wilsey. Members of the Ad Hoc Committee will be contacting Trustees to solicit their input.

 

E. Consideration and Possible Action to Change the Date of the September 13, 2001 Meeting of the Executive Committee to September 20, 2001

    President Wilsey presented the following resolution to change the date of the September 13, 2001 meeting of the Executive Committee to September 20, 2001:

    RESOLVED, That the date of the September 13, 2001 Executive Committee meeting as set by Board Resolution 1353 on September 7, 2000, be changed to Thursday, September 20, 2001 with the time and location of the meeting remaining the same, namely, 12:00 noon in the 6th Floor Conference Room of the Administrative Offices at 233 Post Street, San Francisco.

    A motion was made and seconded. There was no discussion among Trustees. There was no public testimony. The Executive Committee voted unanimously to adopt the above resolution as Board Resolution 1375.

A. Consideration and Possible Action to Approve Loan Requests

    Mr. Parker introduced the following loan requests:

        A motion was made and seconded to approve the above loan requests. In response to a question raised by Trustee Morrow, Mr. Parker advised that the borrowing organization is responsible for insurance coverage for a work of art on loan. There was no further discussion among Trustees. There was no public testimony. The Executive Committee voted unanimously to approve the loan requests subject to the stipulations stated.

 

B. Consideration and Possible Action to Adopt a Resolution to Transfer Funds in the Admission Fund for the Fiscal Year 2001-2002

    Mr. Parker presented the following resolution:

    RESOLVED, That the Board of Trustees of the Fine Arts Museums of

San Francisco does hereby authorize the Controller of the City and County of

San Francisco to transfer monthly excess revenue over monthly admission operating expenses in the Admission Fund (2S CRF RPD) Index Code 615001 to Project PFAADM, Index Code 615001 on a monthly basis for the fiscal year 2001-2002 in conjunction with the Asian Art Museum transfer of monies into Project PAA002; and, be it

    FURTHER RESOLVED, That the funds in project PFAADM are to be used to reimburse the Corporation of The Fine Arts Museums for expenses incurred on behalf of the Museums.

        A motion was made and seconded to approve the resolution. There was no discussion among Trustees. There was no public testimony. The Executive Committee voted unanimously to approve the above resolution as Board Resolution 1376.

 

C. Report on City Budget

    Mr. Parker reported that thirteen Fine Arts Museums’ guards volunteered to transfer to positions at the Asian Art Museum. In response to a question raised by Trustee Jamieson, Mr. Parker explained that a transferred guard becomes a permanent employee of the Asian and continues to accumulate seniority in that City department. The remaining guard force will continue to be responsible for around-the-clock security at the Legion of Honor, the interim de Young Collection Management Center, and the de Young Museum until the art collection has been moved.

   
 

D. Current and Future Exhibits

        Mr. Parker noted that Toulouse Lautrec and the Spirit of Montmartre: Cabarets, Humor, and the Avant-Garde, 1875-1905, continues to be a popular exhibition. During the past month, over 58,000 people visited the Legion of Honor. Toulouse Lautrec opened at

the Legion on March 10, 2001 and runs through May 27, 2001. Henry Moore: Sculpting the 20th Century opens at the Legion on June 23, 2001 and runs through September 16, 2001.

 

E. Other Informational Items

    1. Impact of the California Energy Crisis on the Fine Arts Museums

    Mr. Parker requested Jim Hartman, the Museums’ Building and Grounds Superintendent, to discuss the impact of the ongoing California energy shortage on the Museums. Mr. Hartman explained that a battery back-up system is automatically activated in the event of a power outage at the de Young Museum to operate essential security and fire alarm systems. At the Legion of Honor, a stand-by generator provides power for all life/safety systems. Most rolling blackouts last up to two hours. Mr. Hartman pointed out the importance of bringing systems and equipment on-line gradually after a power outage in order to prevent damage.

    The City’s Public Utilities Commission is identifying projects for possible grant support to save energy. Reducing natural gas consumption at the Legion by separating heating and humidification systems is being considered as a potential project. In addition, efforts are constantly made to conserve energy, such as turning off all non-essential lights. The interim de Young Collection Management Center has been built to utilize the most energy efficient equipment and materials available. Energy conservation is an integral part of the mechanical systems designed for the New de Young Museum.

Public Comment

    Members of the public may address the Executive Committee on items not on the agenda that are within the subject matter jurisdiction of the Fine Arts Museums of

San Francisco. Speakers may address the Executive Committee for up to three minutes;

the President or the Executive Committee may limit the total comment to thirty minutes.
