Calling of the Meeting to Order – Diane B. Wilsey, President

 

 

 

The annual meeting of the Board of Trustees of the Fine Arts Museums ofSan Francisco was held on Thursday, June 21, 2007, in the Board Room of the Legion of Honor, Lincoln Park, San Francisco.  A quorum was present that being one-third of the number of Trustees in office.  President Wilsey called the meeting to order at 3:25 p.m.

President Wilsey presided; Mrs. Gough acted as Secretary.

Report of the Nominating Committee – Louise H. Renne, Chair

 

Chair Renne presented the report of the Nominating Committee.

 

 

 

A.  Report on Trustees Retiring from the Board of Trustees of the Fine Arts Museums of San Francisco

 

 

 

Having completed three terms of three years each, the following Trustees will retire from the Board of Trustees at the conclusion of this meeting:

Josie Mooney
Carlos Pedro Villa

On behalf of the Board of Trustees, Chair Renne extended appreciation to each of these Trustees for their nine years of dedicated service.  The Board of Trustees acknowledged Trustees Meyer, Mooney and Villa with a round of applause.

 

 

 

Chair Renne recognized Trustee Gwen Chan, who has served on the Board of Trustees in her role as Interim Superintendent, San Francisco Unified School District (SFUSD).  A new SFUSD Superintendent has recently been selected, and today’s meeting is the last she will attend. On behalf of the Board of Trustees, Chair Renne extended appreciation to Gwen Chan for her service to the Museums. The Board of Trustees acknowledged her with a round of applause.[1]

 

 

 

B.  Consideration and Possible Action to Elect the Following New Trustees to the Board of Trustees for an Initial Three Year Term

 

 

 

The nominees for election to the Board of Trustees for an initial term of three years to end at the conclusion of the annual meeting in 2010 were:

C.  Welcome New Trustees

 

 

 

Trustees David H. S. Chung, Robert T. Wall and Lisa Zanze joined the meeting.  Chair Renne noted that Edward D. Baker III, Roger Barnett and Susan S. Swartz were unable to be present.  The new Trustees were welcomed with a round of applause.

President Wilsey thanked Chair Renne and the Nominating Committee for their efforts in recommending an impressive slate of candidates.  She extended a warm welcome to the new trustees and expressed appreciation to the retiring trustees for their years of service to the Fine Arts Museums of San Francisco.

 

 

 

D.  Consideration and Possible Action to Re-elect the Following Trustees to a Second Three Year Term

F.  Consideration and Possible Action to Approve the Resignation of Mara E. Rosales from the Board of Trustees

 

 

 

Chair Renne reported that Mara E. Rosales submitted her resignation from the Board of Trustees due to business obligations which preclude her active participation as a Trustee.

On motion, duly seconded, there was no discussion among the Trustees.  There was no public testimony.  The Board of Trustees voted unanimously to accept the resignation of Mara E. Rosales from the Board of Trustees.

 

 

 

G.  Consideration and Possible Action to Elect Diane B. Wilsey to a Fifth Term of Three Years as President of the Board of Trustees

 

 

 

Chair Renne advised that the Nominating Committee recommends the nomination of Diane B. Wilsey to a fifth term of three years as President of the Board of Trustees.

On motion, duly seconded, there was no discussion among the Trustees.  There was no public testimony.  The Board of Trustees voted unanimously to elect Diane B. Wilsey to a fifth term of three years as President of the Board of Trustees to expire at the conclusion of the annual meeting in 2010.

The Board of Trustees acknowledged President Wilsey with a round of applause.

 

 

 

H.  Consideration and Possible Action to Adopt a Resolution Setting the Number of Trustee Positions

 

 

 

Chair Renne read the following resolution setting the number of Trustee positions:

 

 

 

WHEREAS, The San Francisco Charter, Section 5.105, provides for a variable number of Trustees; and

WHEREAS, The Charter sets the number of Trustees at no more than sixty-two, with the exact number to be set by the Board of Trustees from time to time; now, therefore, be it

RESOLVED, That the Board of Trustees of the Fine Arts Museums of San Francisco does hereby set the number of Trustees at forty-five (45) until such number is changed by this Board.

 

 

 

On motion, duly seconded, there was no discussion among the Trustees.  There was no public testimony.  The Board of Trustees voted unanimously to adopt the above resolution as Board Resolution 1622.

Report of the President – Diane B. Wilsey

 

 

 

A.  Consideration and Possible Action to Approve the Minutes of the April 12, 2007 Meeting of the Board of Trustees

There being no discussion among the Trustees or members of the public, the minutes of the April 12, 2007 meeting of the Board of Trustees, having been mailed in advance to all Trustees, were unanimously approved.

 

 

 

B.  Report of the May 23, 2007 Meeting of the Acquisitions Committee of the Fine Arts Museums Foundation – George Hecksher, Vice President for Collections, and Chair of the Acquisitions Committee of the Fine Arts Museums Foundation

 

 

 

Chair Hecksher advised that a working session of the Acquisitions Committee was held on March 15, 2007 to begin a process to establish permanent collection priorities.  It was agreed that the next step would involve curatorial presentations on their respective collections, which would include a summary of the collection emphasizing strengths and weaknesses; identification of major works of art (“wish listâ€) to be acquired through purchase or gift, taking into consideration the cost of artworks acquired through purchase; and a description of deaccessioning plans.  Four curatorial presentations preceded the May 23rd Acquisitions Committee meeting:  European Painting Collection, Dr. Lynn F. Orr; American Art, Timothy Anglin Burgard; the Art of Africa and the Americas, Kathleen Berrin; and Oceanic Art and The Jolika Collection of New Guinea Art, Christina Hellmich.

 

 

 

1.  Gift of the Thomas G. Fowler Collection of Alaskan Eskimo /  Inuit and Northwest Coast Art Consisting of 389 Objects Pending the Execution of the Gift Agreement

At the request of Chair Hecksher, Director Buchanan presented the gift of the Thomas G. Fowler Collection, a major collection of Alaskan Eskimo / Inuit and Northwest Coast Art.  This remarkable collection of 389 objects represents 40 years of collecting by Mr. Fowler who resided in Norwalk, Connecticut.  This collection of Inuit art, which is native American art from the region of Alaska, is exceptional for its quality and comprehensiveness.  Images of four outstanding objects in the collection were on view at the meeting.

Mr. Fowler had become familiar with the de Young Museum from articles in Tribal Arts magazines.  Following his death last year, the executor of the estate visited a number of museums around the country, including the de Young Museum.  It is an honor that the Fine Arts Museums of San Francisco, in particular the de Young Museum, has been selected to be the recipient of this significant Collection.  Mr. Buchanan emphasized that the cost to assemble a collection of this caliber would be prohibitive.  With the Museums’ existing strengths in the arts of Africa, Oceania and the Americas, the Fowler Collection adds balance in the region of North American Indian Art and provides a cornerstone for future development of other North American Indian regions.  A traveling exhibition, a publication, and eventually a permanent rotating display of the collection at the de Young Museum are planned.

Mr. Buchanan expressed appreciation to the executors of the Thomas Fowler estate for making this gift possible.  He further acknowledged Robert Futernick, Associate Director of Museums; Kathleen Berrin, Curator of the arts of Africa, Oceania and the Americas; and Adine Varah, Deputy City Attorney; for their efforts in bringing the collection to the Fine Arts Museums.  In conclusion, Mr. Buchanan advised that the gift agreement between the Thomas G. Fowler estate and the Fine Arts Museums was executed on June 15, 2007.

The 389 objects comprising the Thomas G. Fowler Collection of Alaskan Eskimo / Inuit and Northwest Coast Art are listed on pages 1-9 of Appendix I of these minutes.

 

 

 

2.  Purchases

 

 

 

Chair Hecksher reported that the Acquisitions Committee at its May 23 meeting recommended the purchase of three works of art listed below and on page 10 of
Appendix I of these minutes.

Mr. Buchanan discussed the painting, Susanna and the Elders, ca. 1670, a major work by Jan van Noordt (Dutch, 1624-1676/86).  He explained that the artist took a conventional subject from the Apocrypha, Susanna and the Elders, and elevated it to a compelling visual exploration of threatened honor, both personal and familial.  This painting is considered van Noordt’s masterpiece.  Susanna and the Elders represents the epitome of Dutch Baroque painting and will contribute significantly to the Museum’s strong European painting collection.

 

 

 

3.  Bequests

 

 

 

Chair Hecksher advised that several bequests of art were recently received by the Museums.  These bequests included a painting by Robert Motherwell (American, 1915-1991), Music Over Music, 1981; and a work on paper by Sam Francis, (American, 1923-1994), Untitled, 1980; and Untitled (Reclining Female Nude), 1962, by Richard Diebenkorn (American, 1922-1993).  In addition, a late Trustee generously named the Museums as a beneficiary to receive a significant bequest of ten American art objects and forty-five works on paper.  The artworks bequeathed to the Museums are listed on pages 11 through 15 of Appendix I of these minutes.

 

 

 

4.  Gifts

 

 

 

Chair Hecksher discussed a number of artworks by artist Ruth Asawa (American, b. 1926) gifted to the Museums.  The works by Ruth Asawa include a complete set of 54 lithographs, 15 Black Mountain works on paper, 2 Black Mountain notes, 14 Sculpture Drawings, a Zipatone Collage, and a Sketchbook.  He further noted a gift of 88 works of couture by various artists, many of which appear in the exhibition Nan Kempner: American Chic, which opened at the de Young Museum on June 16th and runs through November 11, 2007.  The gifts offered to the Museums by the Fine Arts Museums Foundation are listed on page 16 of Appendix I of these minutes.

 

 

 

5. First Step Deaccessioning

 

 

 

Approximately 100 European Decorative Art objects were recommended by the Acquisitions Committee for first step deaccessioning, as listed on page 17 of Appendix I of these minutes.

 

 

 

6. Purchases Reported for the Record

 

 

 

The 10 works on paper reported for the record are listed on page 18 of Appendix I of these minutes.

 

 

 

Chair Hecksher introduced the following resolution:

RESOLVED, That the Board of Trustees of the Fine Arts Museums of San Francisco does hereby approve the appended May 23, 2007 report of the Acquisitions Committee of the Fine Arts Museums Foundation, including accepting the Thomas G. Folwer Collection of Alaskan Eskimo / Inuit and Northwest Coast Art, and approving the works of art acquired through purchase, donation, and bequest, as gifts to the Fine Arts Museums of San Francisco from the Fine Arts Museums Foundation; and approving first step deaccessioning.

V.

Report of the Director – John E. Buchanan, Jr.

 

A.  Consideration and Possible Action to Adopt the Revised Statement of Incompatible Activities Required by the San Francisco Ethics Commission – Adine Varah, Deputy City Attorney.

At the request of Mr. Buchanan, Adine Varah, Deputy City Attorney, addressed the Revised Statement of Incompatible Activities.  She noted that San Francisco voters in November 2003 adopted Proposition E, which revised and updated the City's conflict of interest laws. Proposition E, as codified in Section 3.218 of the City's Campaign and Governmental Conduct Code ("Section 3.218"), requires all City departments, boards and commissions, including the Fine Arts Museums Board of Trustees, to develop a statement identifying activities that are "incompatible" with City duties. On September 23, 2004, the Fine Arts Museums' Executive Committee approved a proposed Statement of Incompatible Activities, which is superseded by the proposed revision. The Ethics Commission, in an effort to ensure consistency among departmental statements, recently developed a standard template for use by all departments. But the template also contains specific sections that allow for a description of the particular department's mission and specific examples of "incompatible activities" previously proposed by that department.

She noted that under Section 3.218, the Ethics Commission has final review and approval authority over all City departments' statements of incompatible activities and is scheduled to finalize this policy by the fall of 2007.[2]

In essence, the Revised Statement of Incompatible Activities does not vary in intent from the proposed statement approved by the Executive Committee in September 2004.  On motion, duly seconded, there was no discussion among the Trustees.  There was no public testimony.  The Board of Trustees voted unanimously to approve the appended Revised Statement of Incompatible Activities.

A motion was made and seconded to approve the loan requests noted above.  There was no discussion among Trustees or members of the public.  The Board of Trustees voted unanimously to approve the loans subject to the conditions stated.

 

 

 

C.  Consideration and Possible Action to Adopt a Resolution Acknowledging Funding Expended by the Corporation of the Fine Arts Museums During the Period January 1 through March 31, 2007

The city’s Sunshine Ordinance requires the Fine Arts Museums to disclose the amount and source of all gifts received.  Mr. Buchanan presented the following resolution, which acknowledges funding expended by the Corporation of the Fine Arts Museums for the period January 1 through March 31, 2007:

WHEREAS, The Corporation of the Fine Arts Museums is a 501(c)(3) not-for-profit corporation that exists to support the activities of the Fine Arts Museums of San Francisco; now, therefore, be it

RESOLVED, That the Board of Trustees of the Fine Arts Museums of San Francisco does hereby acknowledge with gratitude funding in the amount of $5,844,868 expended by the Corporation of the Fine Arts Museums for operations.

On motion, duly seconded, there was no discussion among Trustees.  There was no public testimony.  The Board of Trustees voted unanimously to adopt the above resolution as Board Resolution 1625.

 

 

 

D.  Consideration and Possible Action to Adopt a Resolution Acknowledging the Bequests of Funds Received During the Period January 1 through March 31, 2007

In accordance with the city’s Sunshine Ordinance, bequests received by the Fine Arts Museums must also be disclosed.  Mr. Buchanan introduced the following resolution acknowledging the following bequests of funds received by the Museums during the period January 1 through March 31, 2007:

RESOLVED, That the Board of Trustees of the Fine Arts Museums of San Francisco does hereby acknowledge that the following bequests of funds were received during the period January 1 through March 31, 2007:

Estate of Dorothy F. Boyeson, $160,000
Estate of Laurie E. Vaughan, $1,000

On motion, duly seconded, there was no discussion among Trustees.  There was no public testimony.  The Board of Trustees voted unanimously to adopt the above resolution as Board Resolution 1626.

Public Comment

Members of the public may address the Board of Trustees on items not on the agenda that are within the subject matter jurisdiction of the Fine Arts Museums of San Francisco.  Speakers may address the Board for up to three minutes; the President or the Board of Trustees may limit total comments to thirty minutes.  One individual provided public comment:

Mr. Daniel Levenstein, Director of Chamber Music San Francisco, addressed the Board of Trustees expressing his concern about the rental rate increases for the Florence Gould Theater at the Legion of Honor, which are particularly difficult for non-profit organizations.  He requested special consideration of two proposals which would benefit his organization.  President Wilsey responded that this matter would be reviewed.
