Calling of the Meeting to Order - Diane B. Wilsey, President

   
 

A meeting of the Executive Committee of the Board of Trustees of the Fine Arts Museums of San Francisco was held on Thursday, May 11, 2000, in the 6th Floor Conference Room of the Museums’ Administrative Offices at 233 Post Street, San Francisco. A quorum being present, the meeting was called to order at 12:25 p.m. by Mrs. Alfred S. Wilsey, President, who welcomed Trustees George Hecksher, Michael E. O’Neill, and Mrs. Thomas P. Rohlen, newly elected members of the Executive Committee. President Wilsey presided; Mrs. Gough acted as Secretary.

Report of the President - Diane B. Wilsey

   
 

A. Consideration and Possible Action to Approve the Minutes of the April 13, 2000 Meeting of the Board of Trustees

On motion, duly seconded, there being no discussion among the Trustees or members of the public, the minutes of the April 13, 2000 meeting of the Board of Trustees, having been mailed in advance to all Trustees, were unanimously approved.

  1. Report of Recent Developments Regarding the Plans to Build a New de Young Museum in Golden Gate Park

President Wilsey reported on the May 2-10, 2000 Associates Trip to Switzerland, which included tours of collections and museums in Zurich and a visit with Herzog and de Meuron Architekten AG in Basel. The trip concluded in London with a preview of the new Tate Gallery of Modern Art. The remarkable $210 million Tate Modern, designed by Herzog & de Meuron Architekten AG and located in the old Bankside power station, officially opens to the public today. The following articles featuring the Tate Modern and Herzog & de Meuron were circulated: "Let There Be Light", Talk Magazine, May 2000; "Triumph of the Tate," Vanity Fair, May 2000; "A Symbol of Renewal in South London," The New York Times, May 1, 2000; "A Powerhouse of Art in London," San Francisco Chronicle, May 10, 2000; and "England’s Hottest Ticket," The Wall Street Journal, May 11, 2000.

Meetings are being scheduled between City officials and representatives of Safe Golden Gate Park, a new organization formed by a group of skaters, cyclists and public transit advocates. Safe Golden Gate Park is proposing a November ballot initiative that would extend the Sunday closure of John F. Kennedy Drive in Golden Gate Park to Saturdays. The Sunday road closure has had a negative impact on attendance at the California Academy of Sciences and the de Young Museum. Holding back the initiative until after the garage is built would be beneficial to both Museums. The Executive Committee will be kept apprised of future developments.

C. Report on the June 8 - 10, 2000 Meeting of the National Council of the Fine Arts Museums

President Wilsey advised that the June 8 - 10 National Council meeting has been scheduled to coincide with the June 8th opening of the exhibition, Wayne Thiebaud: A Paintings Retrospective, at the Legion of Honor. A business meeting will be held on June 9th and other activities include a day in Sausalito with a visit to the Marin Headlands Center.

Director’s Report - Harry S. Parker III

   
 

A. Report on Proposition G Passed by San Francisco Voters in November 1999 Which Amended Chapter 67 of the San Francisco Administration Code, The Sunshine Ordinance

Mr. Parker advised that the passage of Proposition G broadened Sunshine Ordinance laws relating to public meetings, public records, contracts and private entities doing business with the City and County of San Francisco. A training session for Trustees on amendments to The Sunshine Ordinance was conducted by Deputy City Attorneys on April 13, 2000. At the request of Mr. Parker, Judy Gough, Executive Secretary for Museums, provided a report on the status of the Fine Arts Museums’ compliance. Mrs. Gough noted that her following report primarily addresses public meeting and public records requirements.

  • Meeting notices, agendas and minutes of the Board of Trustees and the Executive Committee of the Board of Trustees for the past three years, 1997, 1998, and 1999 will be posted on the City’s website by June 2, 2000 with year 2000 to date posted no later than June 30th.
  • Agendas of regular meetings will be posted at least 72 hours before a meeting on the Museums’ website, and at the San Francisco Public Library in Civic Center, the de Young Museum, the Legion of Honor and the Post Street Administrative Offices.
  • Seventy-two hour advance notice of special meetings will be provided.
  • Audiotapes of meetings of the Board of Trustees and the Executive Committee will be retained permanently.
  • Attachments or appendices pertaining to meeting agenda items will be identified and each agenda item designated as being a matter for action or discussion.
  • A brief statement of each speaker’s remarks during public comment will be included as part of the meeting minutes.
  • Bequests and donations of cash or gifts of works of art to the Fine Arts Museums of San Francisco will be disclosed, and any financial interest the donor has involving the City will be required to be disclosed as well.

Mr. Parker noted that bequests and works of art are routinely reported to the Board, however, the new requirements, as discussed at the April Board meeting by Deputy City

A. Report on Proposition G Passed by San Francisco Voters in November 1999 Which Amended Chapter 67 of the San Francisco Administration Code, The Sunshine Ordinance (continued)

Attorneys Miriam Stombler and Claire Sylvia, now mandate disclosure of the amount and source of all gifts and whether the contributor has any financial interest in the City. In the future, it will be necessary for the Fine Arts Museums Board by resolution to acknowledge funding received from the Corporation of The Fine Arts Museums on a quarterly basis. Also, it was announced that a Sunshine Ordinance training videotape will soon be available to assist Trustees, who were unable to attend the April 13th Board meeting, in meeting the training requirement.

  1. Report on the Annual McNeil Volunteer Recognition Award Program

Carole and Robert McNeil have generously renewed their support of the Volunteer Recognition Award Program for a third year. The award program presents an exciting opportunity to acknowledge the achievements of many individuals, who support the Museums on a voluntary basis. Museum volunteers, docents, and members of FAM supporting organizations will be eligible for nomination.

C. Consideration and Possible Action to Adopt a Resolution to Transfer Funds in the Admission Fund for the Fiscal Year 2000-2001

Mr. Parker presented the following resolution:

RESOLVED, That the Board of Trustees of the Fine Arts Museums of San Francisco does hereby authorize the Controller of the City and County of San Francisco to transfer monthly excess revenue over monthly admission operating expenses in the Admission Fund (15CRF RPD) Index Code 615001 to Project PFAADM, Index Code 61500 on a monthly basis for the fiscal year 2000-2001 in conjunction with the Asian Art Museum transfer of monies into Project PAA002; and, be it

FURTHER RESOLVED, That the funds in Project PFAADM are to be used to reimburse the Corporation of The Fine Arts Museums for expenses incurred on behalf of the Museums.

A motion was made and seconded to approve the resolution. Mr. Parker noted that after the de Young Museum closes on December 31, 2000, the Asian Art Museum will keep the net proceeds of its own admission revenue. There was no discussion among Trustees or members of the public. The Executive Committee voted unanimously to adopt the resolution as Board Resolution 1346.

C. Report on the City Budget

The Museums’ proposed budget for fiscal year 2000-2001 has been submitted to the Mayor’s Budget Office. The closure of the de Young Museum on December 31, 2000 has made the budget more complicated. The results of the City’s Budget Office will be known by late July.

D. Report of Current and Future Exhibitions

Georgia O’Keeffe: The Poetry of Things on exhibit at the Legion of Honor continues to draw record crowds. It closes on May 14th with Wayne Thiebaud: A Paintings Retrospective scheduled to open on June 10th and runs through September 3rd. A high level of summer attendance is anticipated.

Report of the Education Committee - Mrs. Charles F. Willis, Chair

   
 
    1. Report on the Education Council Event - Treasure Hunt, June 12, 2000, 4:30 p.m. to 7 p.m., de Young Museum

Chair Willis noted that the Education Council has been established in an effort to attract a younger audience to the Museums. The purpose of the Council is to involve young individuals and families in the Fine Arts Museums and its education programs. An annual membership fee of $250 is charged.

A Treasure Hunt for all ages at the de Young Museum on June 12th from 4:30 to 7 p.m. has been planned as a kick-off event for the Education Council. Co-chairs of the event are Jenny and Richard Emerson and Nancy and Charles Willis. The Steering Committee is comprised of Jennifer and Douglas Biederbeck, Diane and Tom Lloyd-Butler, Leslie and John Clayton, Tracey and Phil Haigney, Kelley and Don Johnson, Allison Speer, Dana and James Tananbaum, Trevor Traina, and Summer and Brooks Walker.

The Executive Committee expressed appreciation to Chair Willis for her efforts in organizing the Education Council and the kick-off event.

   

VI.

Public Comment

Members of the public may address the Executive Committee on items not on the agenda that are within the subject matter jurisdiction of the Fine Arts Museums of San Francisco. Speakers may address the Executive Committee for up to three minutes; the President or the Board of Trustees may limit the total comment to thirty minutes.

Prior to adjournment, Trustee Essey suggested that consideration be given to listing female Trustees on future agendas by first rather than married names.

There being no further business, President Wilsey adjourned the meeting at 12:45 p.m.
