Calling of the Meeting to Order - Diane B. Wilsey, President

   
 

A special meeting of the Board of Trustees of the Fine Arts Museums of San Francisco was held on Thursday, June 8, 2000, in Gallery 23 of the M. H. de Young Memorial Museum, Golden Gate Park, San Francisco. A quorum was present that being one-third of the number of Trustees in office. The meeting was called to order at 3:15 p.m. by Diane B. Wilsey, President, who welcomed Barnaby Conrad III and William R. Kimball, who were attending their first meeting as newly elected Trustees. Because of the change in location to Gallery 23 at the de Young Museum from the Board Room at the Legion of Honor, President Wilsey advised that the meeting was noticed as a special meeting of the Board of Trustees.

    President Wilsey presided; Mrs. Gough acted as Secretary.

Report of the President - Diane B. Wilsey

   
 

A. Consideration and Possible Action to Approve the Minutes of the May 11, 2000 Meeting of the Executive Committee

   
 

There being no discussion among the Trustees or members of the public, the minutes of the May 11, 2000 meeting of the Executive Committee of the Board of Trustees, having been mailed in advance to all Trustees, were unanimously approved.

   
 

B. Consideration and Possible Action to Adopt a Proposed Resolution Accepting the Report of the Acquisitions Committee of May 26, 2000 - J. Alec Merriam, Chair and Vice President of Collections

   
 

    1. Purchases - Request to The Fine Arts Museums Foundation for Gifts of Works of Art

    Chair Merriam called on Steven Nash, Associate Director of Museums and Chief Curator, to discuss the proposed acquisition of Pax Jerusalem, 1999, by internationally acclaimed sculptor Mark di Suvero. The sculpture was temporarily installed on the sculpture pad in front of the Legion of Honor in September 1999 and is now proposed for acquisition and long-term installation. Mr. Nash reported that the Visual Arts Committee of the San Francisco Arts Commission and the full Arts Commission both endorsed the installation of the di Suvero sculpture at meetings on April 19th and May 1st respectively. On May 18th, the Recreation and Park Commission approved the long-term installation of the sculpture at the Legion.

 

    1. Purchases - Request to The Fine Arts Museums Foundation for Gifts of Works of Art (continued)

    Pax Jerusalem would join the George Segal holocaust memorial, the two works by Anna Hyatt Huntington, and the Rodin Thinker as major sculptural statements in front of the Legion. Chair Merriam clarified that Pax Jerusalem would be initially acquired through the bequest of Dorothy Spreckels Munn, the daughter of Adolph and Alma de Bretteville Spreckels, who commissioned and gave the Legion of Honor to the people of San Francisco, with the Roscoe and Margaret Oakes Income Fund 412 reimbursing the Munn Bequest Fund over time. The Oakes Sub-committee has approved this funding proposal. Pax Jerusalem is listed as Item 1 on page 2815 of Appendix I of these minutes.

    Curator Robert Flynn Johnson then presented Sketch for a Block of Marble with Measurements by Michelangelo Buonarroti, 1475-1564. The sketch is a working drawing by Michelangelo, which he created in ordering a block of marble for one of his sculpture projects. Chair Merriam reported a change in funding for this proposed acquisition. The Sketch for a Block of Marble with Measurements, listed as Item 2 on page 2815 of Appendix I of these minutes at a purchase price of $75,000, is proposed for funding entirely through the bequest of Dorothy Spreckels Munn.

    Two additional purchases were presented, A Farmhouse Among Trees, Trees in a Hilly Landscape, a double-sided watercolor by Anthonie Waterloo, and Untitled #79 (Tornado Series), by Joe Goode, listed as Items 3 and 4 on pages 2815 and 2816 of Appendix I of these minutes, to the Board of Trustees for approval.

The following resolution was then introduced:

    RESOLVED, That the Executive Committee of the Board of Trustees of the Fine Arts Museums of San Francisco does hereby request The Fine Arts Museums Foundation to acquire as gifts to the Museums the objects listed as Items 1, 2, 3, and 4, on pages 2815 and 2816 of Appendix I of these minutes; and be it

    FURTHER RESOLVED, That the President or Acting President of the Fine Arts Museums of San Francisco is authorized to accept the gifts offered by The Fine Arts Museums Foundation.

    A motion to adopt the resolution was made and seconded. There was no discussion among Trustees. There was no public testimony. The Board of Trustees voted unanimously to adopt the above resolution as Board Resolution 1347.

    2. Gifts Offered to the Museums

    Chair Merriam particularly noted the gift of George Hopper Fitch, Untitled by Franz Kline, for the Prints and Drawings Collection in honor of the 25th anniversary of Robert Flynn Johnson as Curator-in-Charge of the Achenbach Foundation for Graphic Arts. In addition, a collection of watercolors by Percy Gray was donated by Donald C. Whitton (sixteen works) and his daughter, Janet Whitton Pynch (three works). A motion to approve the gifts offered to the Museums was made and seconded. There was no discussion among Trustees. There was no public testimony. The Board of Trustees voted unanimously to

    accept with sincere thanks to all donors the gifts offered to the Museums as listed in Appendix I, pages 2817 to 2823 of these minutes.

    3. Resolution to Decline Four Works of Art and Accept one Work of Art from the Elsa Brunner Living Trust

    A motion was made and seconded to adopt the resolution on pages 2824 and 2825 of Appendix I of these minutes, declining four works of art and accepting one work of art from the Elsa Brunner Living Trust. There was no discussion among Trustees. There was no public testimony. The Board of Trustees voted unanimously to adopt the resolution as Board Resolution 1348.

    4. Deaccessioning

    A motion to approve first step deaccessioning was made and seconded for the works of art listed on page 2826 of Appendix I of these minutes: American Art, First Step, 8 pages; Textiles, First Step, 4 pages. There was no discussion among Trustees. There was no public testimony. The Board of Trustees voted unanimously to approve first step deaccessioning as listed.

    5. Purchases Reported for the Record Only

    These objects are listed in Appendix I, pages 2827 through 2830 of these minutes.

    6. Resolution Accepting the May 26, 2000 Report of the Acquisitions Committee

    A motion was made and seconded to accept the May 26, 2000 Report of the Acquisitions Committee attached to these minutes as Appendix I. There was no discussion among Trustees. There was no public testimony. The Board of Trustees voted unanimously to adopt the following resolution as Board Resolution 1349:

    RESOLVED, That the Board of Trustees does hereby accept the Report of the Acquisitions Committee of May 26, 2000 including the resolution set forth in Appendix I.

   
 

C. Consideration and Possible Action to Adopt a Resolution Requesting The Fine Arts Museums Foundation to Organize and Operate an Acquisitions Committee within The Fine Arts Museums Foundation

   
 

President Wilsey reported that in November 1999 San Francisco voters passed Proposition G, which amended The Sunshine Ordinance by changing laws relating to public records, public meetings, contracts and private entities doing business with the City and County of San Francisco. She read the following resolution proposing an organizational change whereby The Fine Arts Museums Foundation would be requested to organize and operate an Acquisitions Committee within The Foundation:

    WHEREAS, The Board of Trustees of the Fine Arts Museums approved the Guidelines for Collection Management and Acquisitions Policies in January 1983 and has adopted revisions to certain of these guidelines and policies since that time; and

    WHEREAS, The Guidelines provide for an Acquisitions Committee to direct the development and enhancement of the permanent collection through purchase and gifts of works of art, and the deaccessioning of objects no longer suitable for the permanent collection; and

    WHEREAS, Historically, The Fine Arts Museums Foundation has accepted some objects to trade or sell or to be used for education purposes and has funded purchases of works of art and given such works of art to the Fine Arts Museums of San Francisco; and

    WHEREAS, San Francisco voters passed amendments to The Sunshine Ordinance in November 1999, which may impair the Museums’ successful Acquisitions Program; and

    WHEREAS, The personal safety of donors possibly threatened by the misuse of public information, the protection of valuable and vulnerable art objects, and the integrity of the Museums’ relationship with its donors are of the highest importance to the Fine Arts Museums of San Francisco; and

    WHEREAS, The Museums’ participation in public auctions requires confidentiality in the bidding process to ensure successful results; now, therefore, be it

    RESOLVED, That the Board of Trustees of the Fine Arts Museums of San Francisco does hereby request The Fine Arts Museums Foundation to organize and operate an Acquisitions Committee within The Fine Arts Museums Foundation; and, be it

    FURTHER RESOLVED, That the recommendations and activities of the Acquisitions Committee of The Fine Arts Museums Foundation will be reported to the Board of Trustees of the Fine Arts Museums of San Francisco; and, be it

    FURTHER RESOLVED, That any accessions to and deaccessions from the permanent collection shall be approved by the Board of Trustees of the Fine Arts Museums of San Francisco.

    On motion, duly seconded, there was no discussion among Trustees. There was no public testimony. The Board of Trustees voted unanimously to adopt the above resolution as Board Resolution 1350.

   
 

D. Report on Recent Developments Regarding the Plans to Build a New de Young Museum in Golden Gate Park

   
 

President Wilsey reported that Michael Ellzey has been appointed Chief Executive Officer of the Golden Gate Park Concourse Authority. Mr. Ellzey was introduced and welcomed with a round of applause.

   
 

E. Consideration and Possible Action to Adopt a Resolution Setting the Dates of the 2001 Board of Trustees Meetings

   
 

    President Wilsey introduced the following resolution:

    RESOLVED, That the Board of Trustees of the Fine Arts Museums of San Francisco does hereby set the following dates, times and locations for its 2001 regular meetings:

F. Report on the National Council of the Fine Arts Museums - Margaret Wetzel, Co-Chair

   
 

    Co-Chair Mrs. Wetzel advised that the June 8 - 10 National Council meeting has been scheduled to coincide with tonight’s opening of the exhibition Wayne Thiebaud: A Paintings Retrospective at the Legion of Honor. A business meeting will be held on June 9th with artist Wayne Thiebaud as guest speaker. There are currently fifty-four members of the National Council. The next meeting has been scheduled for October 3-5, 2001.

Director’s Report - Harry S. Parker III

   
 

A. Consideration and Possible Action to Adopt a Resolution Acknowledging Funding Expended by the Corporation of The Fine Arts Museums During the Period January 1 through March 31, 2000

   
 

    Mr. Parker advised that one of the amendments to The Sunshine Ordinance, discussed previously in the agenda, requires the Fine Arts Museums to disclose the amount and source of all gifts received. The proposed resolution acknowledges funding expended by the Corporation of The Fine Arts Museums for the first quarter of this calendar year and will become a standard agenda item in the future. In response to a question raised by Trustee Leonard Kingsley, Mr. Parker pointed out that approximately seventy percent of the Museums’ operating budget is supported through funds raised by the Corporation of The Fine Arts Museums. He then introduced the following resolution:

    WHEREAS, The Corporation of The Fine Arts Museums is a 501(c)(3) not-for-profit corporation that exists solely to support the activities of the Fine Arts Museums of San Francisco and has a partial reimbursement contract with the Fine Arts Museums of San Francisco; now, therefore, be it

    RESOLVED, That the Board of Trustees of the Fine Arts Museums of San Francisco does hereby acknowledge with gratitude funding in the amount of $4,624,929 expended by the Corporation of The Fine Arts Museums during the period January 1 through March 31, 2000.

    On motion, duly seconded, there was no discussion among Trustees. There was no public testimony. The Board of Trustees voted unanimously to adopt the above resolution as Board Resolution 1352.

   
 

B. Report on de Young Museum Activities during Period of Closure

   
 

    Mr. Parker reported that planning moves forward in preparation for the closure of the de Young Museum on December 31, 2000 for approximately four and one-half years. Letters of intent have been executed for two interim facilities. The first, at Irving Street and 26th Avenue, would temporarily house the art education program. The second site, a warehouse near the San Francisco airport, would accommodate the de Young collections,

curators, and conservators. In addition, efforts continue to focus on maintaining a viable de Young presence during the period of closure.

   
 

C. Report on the McNeil Volunteer Recognition Award Program

   
 

    Carole and Robert McNeil have generously renewed their support of the Volunteer Recognition Award Program for a third year. The award program presents an exciting opportunity to acknowledge the achievements of many individuals, who support the Museums on a voluntary basis. Museum volunteers, docents, and members of FAM supporting organizations are eligible for nomination. Two recipients, selected by a committee chaired by Mr. and Mrs. McNeil, will each propose a Museum project for $25,000 in funding for approval by the Board of Trustees.

   
 

D. Update on City Budget

   
 

    The Museums’ proposed budget for fiscal year 2000-2001 was submitted to the Mayor’s Budget Office for review and has been referred to the Finance Committee of the Board of Supervisors. The results of the budget process will be known by mid-July.

   
 

E. Current and Future Exhibits

   
 

    Wayne Thiebaud: A Paintings Retrospective opened to the public at the Legion of Honor on May 14th. The exhibition celebrates the 80th birthday of Wayne Thiebaud, one of America’s best-loved contemporary artists, and features more than 100 of his works. The exhibition, organized by Steve Nash, Associate Director and Chief Curator, will close on September 3rd and travel to the Modern Art Museum of Fort Worth, the Phillips Collection in Washington, D.C., and the Whitney Museum of American Art in New York City. The Thiebaud show is quite appealing and promises to be well received by Museum audiences.

    An equally important exhibition, 2000 BC: The Bruce Conner Story Part II, opened at the de Young Museum on May 2nd and runs through July 30th. The exhibit is Bruce Conner’s first large solo exhibition in twenty-five years.

Public Comment

    Members of the public may address the Board of Trustees on items not on the agenda that are within the subject matter jurisdiction of the Fine Arts Museums of San Francisco. Speakers may address the Board for up to three minutes; the President or the Board of Trustees may limit the total comment to thirty minutes. There was no public comment.
