Calling of the Meeting to Order – Diane B. Wilsey, President The annual meeting of the Board of Trustees of the Fine Arts Museums of San Francisco was held on Tuesday, June 21, 2011 in the Board Room of the Legion of Honor, Lincoln Park, San Francisco. A quorum was present, that being one-third of the number of Trustees in office. The meeting was called to order at 3:16 p.m. by Diane B. Wilsey, President. President Wilsey presided; Mrs. Gough acted as Secretary. |

Report of the Nominating Committee – Lisa Zanze, Chair A.Consideration and Possible Action to Elect the Following New Trustees to the Board of Trustees of the Fine Arts Museums of San Francisco for an Initial Three Year Term In the absence of Chair Lisa Zanze, Trustee George Hecksher, a member of the Nominating Committee, presented the report of the Nominating Committee. He introduced the slate of nominees for election to the Board of Trustees of the Fine Arts Museums of San Francisco for an initial term of three years follows: Marc Cruciger, M.D. B.Welcome New Trustee Newly elected Trustee Marc Cruciger joined the meeting and was welcomed with a round of applause. Trustee Hecksher noted that Holly Johnson Harris and Dr. Sarah Ogilvie were unable to attend today’s meeting. C.Report on Trustee Retiring from the Board of Trustees of the Fine Arts Museums of San Francisco Trustee Hecksher reported that John A. Friede, having completed three terms of three years each, will retire from the Board of Trustees at the conclusion of today’s meeting. D.Consideration and Possible Action to Re-elect the Following Trustees to a Second Three Year Term The nominees for election to a second term of three years to end at the conclusion of the annual meeting in June 2014 were: Juliet de Baubigny On motion, duly seconded, there was no discussion among Trustees present. There was no public testimony. The Board of Trustees voted unanimously to elect the nominees to a second term of three years to expire at the conclusion of the annual meeting in June 2014. E.Consideration and Possible Action to Re-elect the Following Trustee to a Third Three Year Term The nominee for election to a third term of three years to end at the conclusion of the annual meeting in June 2014 was: Denise B. Fitch On motion, duly seconded, there was no discussion among Trustees present. There was no public testimony. The Board of Trustees voted unanimously to elect Denise B. Fitch to a third term of three years to expire at the conclusion of the annual meeting in June 2014. F.Consideration and Possible Action to Re-elect the Following Trustees to an Additional Term of Three Years (Second Three-Year Term of an Unlimited Number of Terms) The nominees for election to an additional term of three years (the second three-year term of an unlimited number of terms) to end at the conclusion of the annual meeting in June 2014 were: Belva Davis On motion, duly seconded, there was no discussion among Trustees present. There was no public testimony. The Board of Trustees voted unanimously to elect the nominees to a second term of three years to expire at the conclusion of the annual meeting in June 2014. G.Consideration and Possible Action to Adopt a Resolution Setting the Number of Trustee Positions Trustee Hecksher introduced the following resolution setting the number of Trustee positions: WHEREAS, The San Francisco Charter, Section 5.105, provides for a variable number of Trustees; and WHEREAS, The Charter sets the number of Trustees at no more than sixty-two (62), with the exact number to be set by the Board of Trustees from time to time; now, therefore, be it RESOLVED, That the Board of Trustees of the Fine Arts Museums of San Francisco does hereby set the number of Trustees at forty-eight (48) until such number is changed by this Board. A motion was made and duly seconded to adopt the above resolution setting the number of Trustee positions at forty-eight (48). There was no discussion among Trustees. There was no public testimony. The Board of Trustees voted unanimously to adopt the above resolution as Board Resolution 1714. |

A.Consideration and Possible Action to Approve the Minutes of the April 26, 2011 Meeting of the Board of Trustees There being no discussion among the Trustees or members of the public, the minutes of the April 26, 2011 meeting of the Board of Trustees, having been mailed in advance to all Trustees, were unanimously approved. |

B.Consideration and Possible Action to Approve the Report of the May 11, 2011 Acquisitions Committee Meeting – George Hecksher, Vice President for Collections and Chair of the Acquisitions Committee Chair Hecksher provided the following report of the May 11, 2011 meeting of the Acquisitions Committee of the Fine Arts Museums Foundation: Purchases American Art Chair Hecksher invited Timothy Anglin Burgard, Curator in Charge and Ednah Root Curator of American Art, to present Six-Sided Planes, ca. 1937 by Balcomb Greene (American, 1904 - 1990). Mr. Burgard described this work as complete non-objective abstraction, painted by the founding member and first chairman of the Abstract American Artists Group. Greene spent two years in Paris, studying the great Modern Masters, including Picasso, Mondrian and Matisse, and helped to establish Abstraction in the United States in the 1930s. This acquisition is generously funded by a member of the Acquisitions Committee. Prints and Drawings In the absence of Karin Breuer, Curator in Charge of the Achenbach Foundation for Graphic Arts, Mr. Burgard presented Litho #1 (Waves #1), 1960, by Willem Textiles In the absence of Jill D’Alessandro, Curator of Textiles, Chair Hecksher requested Julian Cox, Founding Curator of Photography and Chief Curator of the de Young Museum, to present Neopolitan Woman, 2010, by Isabelle de Borchgrave (Belgian, b. 1946). The artist draws her inspiration from the representation of costume and textiles throughout art history. The final gallery of Pulp Fashion: The Art of Isabelle de Borchgrave, (which was seen by more than 155,000 visitors), featured the artist’s reinterpretation of paintings from the Museums’ permanent collection. This paper costume is inspired by the Museums’ Woman in Neapolitan Costume, ca. 1635, a painting by Massimo Stanzione on view at the Legion of Honor. This artwork was commissioned under the auspices of the Museums’ Collections Connections program. Generously funded by The Annenberg Foundation, Collections Connections presents new works that reinterpret traditional artworks from the Museums’ permanent collection. The three above artworks and three additional works of art listed on page 1 of Appendix I of these minutes were recommended to the Board of Trustees for purchase approval. Gifts Chair Hecksher advised that the Acquisitions Committee recommends the acceptance of 17 works of art from 9 donors. He expressed sincere appreciation to all the donors. The gifts offered to the Museums by the Fine Arts Museums Foundation are listed on pages 2 and 3 of Appendix I of these minutes. First Step Deaccessioning The one work of European Decorative Arts and Sculpture, Hanging Lamp, Egypt, Cairo, Moorish, listed on page 4 of appendix I of these minutes was recommended to the Board of Trustees for first step deaccessioning. The following resolution was then introduced: RESOLVED, That the Board of Trustees of the Fine Arts Museums of San Francisco does hereby approve the appended May 11, 2011 report of the Acquisitions Committee of the Fine Arts Museums Foundation, including approving the works of art acquired through purchase and donation as gifts to the Fine Arts Museums of San Francisco from the Fine Arts Museums Foundation, and approving first step deaccessioning. On motion, duly seconded, there was no discussion among Trustees. There was no public testimony. The Board of Trustees voted unanimously to adopt the above resolution as Board Resolution 1715. |

C.Consideration and Possible Action to Reinstate Trustee Monica Maduro to the Second Year of Her Second Term of Three Years Following a Nine Month Leave of Absence President Wilsey welcomed Trustee Monica Maduro to the meeting. She advised that Trustee Maduro has requested reinstatement of her term, following a nine month leave of absence. On motion, duly seconded, there was no discussion among the Trustees. There was no public testimony. The Board of Trustees voted unanimously to reinstate Trustee Monica Maduro to the second year of her second term of three years following a nine month leave of absence. |

D.Consideration and Possible Action to Approve the Decision of Trustee Penny Coulter Not to Seek Re-Election to the Board of Trustees for a Third Term of Three Years and to Request a One Year Leave of Absence President Wilsey reported that Trustee Penny Coulter has requested a one year leave of absence as Trustee of the Fine Arts Museums of San Francisco, and will not seek re-election to the Board of Trustees for a third term at this time. On motion, duly seconded, there was no discussion among the Trustees. There was no public testimony. The Board of Trustees voted unanimously to approve a one year leave of absence for Trustee Penny Coulter and to accept her decision not to seek re-election to the Board of Trustees for a third term of three years at this time. |

A.Consideration and Possible Action to Authorize the Renewal of the Three Year Loan Agreement for the Guarnerius del Gesù Violin to the Mr. Buchanan reported on the request from the San Francisco Symphony to renew the loan agreement for the Guarnerius del Gesù Violin to the San Francisco Symphony for an additional three-year period beginning with the 2011-12 season. At its meeting on June 13, 2002, the Board of Trustees approved a three year loan of the Guarnerius violin to the Symphony to be played only by Concertmaster Alexander Barantschik at performances at Davies Symphony Hall and the Flint Center in Cupertino. The 18th century Guarnerius del Gesù violin was bequeathed to the Fine Arts Museums in 1989 by Jascha Heifetz. On December 9, 2004 and June 24, 2008, the Executive Committee of the Board of Trustees and the Board of Trustees, respectively, voted unanimously to extend the loan of the Guarnerius violin to the Symphony to be played only by Concertmaster Alexander Barantschik at performances at Davies Symphony Hall and the Flint Center in Cupertino for an additional three years and subject to the same conditions as the original loan. Mr. Buchanan noted that the violin will continue to return to the Museums for display no fewer than eight consecutive weeks each summer. The Symphony will continue to insure the Guanerius at its full market value, organize a chamber music series of four to six performances a year in the Florence Gould Theater at the Legion of Honor, and be responsible for the routine inspection of the violin on a regular basis by Conservator Roland Feller. On motion, duly seconded, there was no discussion among the Trustees. There was no public testimony. The Board of Trustees voted unanimously to extend the loan of the Guarnerius violin to the Symphony, to be played only by Concertmaster Barantschik at performances at Davies Symphony Hall and the Flint Center in Cupertino[1], for an additional three years beginning with the 2011-12 season and subject to the same conditions as the original loan.

B.Consideration and Possible Action to Approve Loan Requests Mr. Buchanan presented the following loan requests: 1.From:The Hyde Collection Art Museum, Glens Falls, NY For:Modern Nature: Georgia O’Keeffe and Lake George Georgia O'Keeffe (American, 1887–1986) Stipulations:The painting must be accompanied by a FAMSF courier to the Hyde Collection Art Museum and from the Georgia O’Keeffe Museum, and be part of a couriered shipment between venues. All related expenses will be paid by the requesting organization. 2.From:The Art Institute of Chicago, Chicago, IL For:Impressionism, Fashion and Modernity Édouard Manet (French, 1832–1883) Stipulations:The painting must be accompanied by a FAMSF courier to the Metropolitan Museum of Art and from the Art Institute of Chicago, and be part of a couriered shipment between venues. All related expenses will be paid by the requesting organization. A motion was made and seconded to approve the loan requests. There was no discussion among Trustees or public testimony. The Board of Trustees voted unanimously to approve the loans, subject to the conditions stated.

C.Consideration and Possible Action to Adopt a Resolution to Transfer Funds in the Admission Fund for the Fiscal Year 2011-2012 Mr. Buchanan introduced the following resolution to transfer funds in the admission fund for Fiscal Year 2011 - 2012 to reimburse the Corporation of the Fine Arts Museums for expenses incurred on behalf of the Museums: RESOLVED, That the Board of Trustees of the Fine Arts Museums of San Francisco does hereby authorize the Controller of the City and County of San Francisco to transfer monthly excess revenue over monthly admission operating expenses in the Admission Fund (2S CRF RPD) Index Code 615001 to Project PFAADM, Index Code 615001 on a monthly basis for the Fiscal Year 2011-2012; and, be it FURTHER RESOLVED, That the funds in project PFAADM are to be used to reimburse the Corporation of the Fine Arts Museums for expenses incurred on behalf of the Museums. On motion, duly seconded, there was no discussion among Trustees. There was no public testimony. The Board of Trustees voted unanimously to adopt the above resolution as Board Resolution 1716. |

D. Consideration and Possible Action to Adopt a Resolution Acknowledging Funding Expended by the Corporation of the Fine Arts Museums During the Period January 1 through March 31, 2011 The city’s Sunshine Ordinance requires the Fine Arts Museums to disclose the amount and source of all gifts received. Mr. Buchanan presented the following resolution, which acknowledges funding expended by the Corporation of the Fine Arts Museums for the period January 1 through March 31, 2011. WHEREAS, The Corporation of the Fine Arts Museums is a 501(c)(3) not-for-profit corporation that exists to support the activities of the Fine Arts Museums of San Francisco; now, therefore, be it RESOLVED, That the Board of Trustees of the Fine Arts Museums of San Francisco does hereby acknowledge with gratitude funding in the amount of $11,118,918 expended by the Corporation of the Fine Arts Museums for operations during the period January 1 through March 31, 2011. On motion, duly seconded, there was no discussion among Trustees. There was no public testimony. The Board of Trustees voted unanimously to adopt the above resolution as Board Resolution 1717. |

E.Consideration and Possible Action to Adopt a Resolution Acknowledging Bequests of Funds Received During the Period January 1 through In accordance with the city’s Sunshine Ordinance, bequests received by the Fine Arts Museums must also be disclosed. Mr. Buchanan introduced the following resolution, acknowledging the subsequent bequests of funds received by the Museums during the period January 1 through March 31, 2011. RESOLVED, That the Board of Trustees of the Fine Arts Museums of San Francisco does hereby acknowledge the bequests of funds received during the period January 1 through March 31, 2011: Sylvia M. Kingsley Estate Trust, $10,000 On motion, duly seconded, there was no discussion among Trustees. There was no public testimony.
