A regular meeting of the Board of Trustees of the Fine Arts Museums of San
Francisco was held on Thursday, April, 19, 2012, in the Piazzoni Murals Room at the
de Young Museum, Golden Gate Park, San Francisco. A quorum was present, that
being one-third of the number of Trustees in office. The meeting was called to order
at 3:16 p.m. by Diane B. Wilsey, President.
President Wilsey presided; Mrs. Bourne acted as Secretary.

III. Report of the President - Diane B. Wilsey

A. Consideration and Possible Action to Approve the Minutes of the January
24, 2012 Meeting of the Board of Trustees

There being no discussion among Trustees or members of the public, the
minutes of the January 24, 2012 meeting of the Board of Trustees, having been
mailed in advance to all Trustees, were unanimously approved.

B. Consideration and Possible Action to Approve the Report of the March 28,
2012 Acquisitions Committee Meeting - George Hecksher, Vice President
for Collections and Chair of the Acquisitions Committee

Chair Hecksher, Vice President for Collections and Chair of the Acquisitions
Committee of the Fine Arts Museums Foundation, provided the following report of the
March 28, 2012 Acquisitions Committee of the Fine Arts Museums Foundation:

1. Purchases
Chair Hecksher invited Chief Administrative Curator and Founding Curator of
Photography, Julian Cox, to present No. 19,1951, a painting by Richard Pousette-Dart,
(American, 1916-1992), which was on display at the meeting. Mr. Cox stated that
Abstract Expressionism is the first truly American modernist art movement, and the
Museums have been looking for several years to acquire an "action painting," the kind of
painting made with the canvas rolled out on the floor, with paint directly applied from
tubes and poured from cans onto the canvas. Abstract Expressionist works by Mark
Rothko, Robert Motherwell, and David Smith hang in Gallery 13 at the de Young.
Pousette-Dart is not as well-known as these other names, partly because he was the
youngest member of this group, and in 1952, he moved from New York City to upstate
New York. A purchase of a Pollack or de Kooning would run into seven or eight figures;
this painting is within the Museums' reach. The painting will be installed at the de Young
in the fall of this year.

Mr. Hecksher called on Jim Ganz, Curator of the Achenbach Foundation of
Graphic Art, to present a major acquisition: Salt Flats at Le Croisic, ca. 1671-1673, a
watercolor by Lambert Doomer, (DutCh, 1624-1700), which was on display at the
meeting. Doomer was a Dutch golden age artist who is best known for his graphic
works, particularly landscapes, rather than his paintings. In the 1640s, he made a
sketch of evaporation pools while visiting his brother in France, on the Atlantic coast
near the mouth of the Loire River where sea salt is still cultivated, and 30 years later he
made several highly finished watercolors from the sketches. This is one of the great
works Doomer executed in the notoriously difficult medium of watercolor. It is a fine
example of the Dutch landscape revolution, which introduced the idea of showing the
land as it is, rather than idealizations. The watercolor was shown in the Legion of Honor
in 2006 and will be exhibited next year in Rembrandt's Century, which Mr. Ganz is
curating.

Mr. Hecksher noted the purchase of three fan paintings by Henri-Charles
Guerard, French, 1846-1897, (two were funded by the Achenbach Foundation for Graphic Art
and one was funded by a Trustee, all in memory of John E.Buchanan, Jr., who was Director of Museums from 2006 until his death in December 2011), and the purchase of a Ceremonial Headscarf, (19th Century, Thar Desert, India).

The six artworks listed on page 1 of Appendix I of these minutes were recommended for
purchase approval.

2. Gifts
Chair Hecksher reported that Silvered Cobalt Ikebana with Clear Stems, 2011, a
glass sculpture by Dale Chihuly, (American b. 1941), was given for the American Art
Department in memory of John E. Buchanan, Jr. Also for American Art, a gift was made
of 26 Maquettes, 1964-1997, and Thorax Figure, 2008, by Stephen De Staebler,
(American, 1933-2011), which are currently on display at the de Young in the exhibition
Matter + Spirit: The Sculpture of Stephen De Staebler.

Mr. Hecksher noted the gifts of several works of graphic art: Untitled (Curtain
Design for a Folies - Bergere production of Aladin, 1927, by Roman de Tirtoff (Erte),
Russian, 1891-1990; The Nest Drawings, 2011, a collection of 42 works by Kimetha
Vanderveen, American, b. 1969; The Rainbow, Salisbury Cathedral, 1837, After John
Constable, by David Lucas, English, 1802-1881; The Green Canoe, 2003 by Richard
Bosman, Australian, working New York, b. 1944; four drawings of Joan Brown by
Manuel Neri, given in honor of Timothy Anglin Burgard, Ednah Root Curator of American
Art; and five works by Beth Van Hoesen. The 82 works of art listed on pages 2 and 3 of
Appendix I of these minutes were recommended for acceptance as gifts to the Fine Arts
Museums Foundation. Mr. Hecksher expressed gratitude to the donors for their
generous gifts of works of art.

3. Funded Purchases
Chair Hecksher reported for the record the funded purchases of four works of
graphic art, seven photographs, and one textile. The funded purchases, made out of
curators' discretionary funds, are listed on page 4 of Appendix I of these minutes.

4. First Step Deaccessioning
Chair Hecksher reported that 44 works of American Decorative Art are proposed
for first step deaccessioning, including several lesser works by Tiffany and 19 American
Paintings are proposed for first step deaccessioning. Twelve works on paper, including
several Rembrandt prints which are lesser quality duplicates of works in the Museums'
collection are proposed for first step deaccessioning. The 75 works listed on page 6 of
Appendix I of these minutes were recommended to the Board of Trustees for first step
deaccessioning.

5. Second Step Deaccessioning
The six American paintings listed on page 7 of Appendix I of these minutes were
recommended to the Board of Trustees for second step deaccessioning.

The following resolution was then introduced:

RESOLVED, That the Board of Trustees of the Fine Arts Museums of San
Francisco does hereby approve the appended March 28, 2012 report of the Acquisitions
Committee of the Fine Arts Museums Foundation, including approving the works of art
acquired through purchase and donation as gifts to the Fine Arts Museums of San
Francisco from the Fine Arts Museums Foundation, and approving first and second step
deaccessioning.

On motion, duly seconded, there was no discussion among Trustees. There was
no public testimony. The Board of Trustees voted unanimously to adopt the above
resolution as Board Resolution 1731.

C. Consideration and Possible Action to Approve a Change in Date for the
Executive Committee Meeting of the Board of Trustees of the Fine Arts
Museums of San Francisco from Thursday, May 10, 2012 at 4:00 p.m. to
Wednesday, May 9,2012 at 3:00 p.m.

President Wilsey reported that, due to a scheduling conflict, the date of the next
meeting of the Executive Committee meeting must be changed. She offered the
following resolution:

RESOLVED, That due to a scheduling conflict, the Board of Trustees of the Fine
Arts Museums of San Francisco does hereby change the date of the Thursday, May 10,
2012 Executive Committee meeting, scheduled at 4:00 p.m. to Wednesday, May 9,
2012, at 3:00 p.m., with the location remaining the same, namely, in the Board Room at
the Legion of Honor.

On motion, duly seconded, there was no discussion among Trustees. There was
no public testimony. The Board of Trustees voted unanimously to adopt the above
resolution as Board Resolution 1732.

Stipulations: The artworks must be accompanied by a FAMSF courier
to the Musee des Augustins and to the Musee Fabre and from
LACMA and the Wadsworth Atheneum, and be part of a couriered
shipment between venues. All related expenses will be paid by the
requesting organization.

A motion was made and seconded to approve the loan requests listed
above. There was no discussion among Trustees. There was no public
testimony. The Board of Trustees voted unanimously to approve the loans,
subject to the conditions stated.

B. Consideration and Possible Action to Adopt a Resolution Acknowledging
Funding Expended by the Corporation of the Fine Arts Museums During
the Period October 1 through December 31, 2011

The City's Sunshine Ordinance requires the Fine Arts Museums to
disclose the amount and source of all gifts received. Ms. Gutierrez presented the
following resolution, which acknowledges funding expended by the Corporation
of the Fine Arts Museums During the period October 1 through December 31,
2011 :

WHEREAS, The Corporation of the Fine Arts Museums is a 501 (c)(3)
not-for-profit corporation that exists to support the activities of the Fine Arts
Museums of San Francisco; now, therefore, be it

RESOLVED, That the Board of Trustees of the Fine Arts Museums of
San Francisco does hereby acknowledge with gratitude funding in the amount
of $9,353,490.02 expended by the Corporation of the Fine Arts Museums for
operations during the period October 1 through December 31, 2011.

A motion was made and duly seconded to adopt a resolution
acknowledging funding expended by the Corporation of the Fine Arts Museums
during the period October 1 through December 31, 2011 in the amount of
$9,353,490.02. There was no discussion among the Trustees. There was no
public comment. The Board of Trustees voted unanimously to adopt the above
resolution as Board Resolution 1733.

C. Consideration and Possible Action to Adopt a Resolution Acknowledging
Bequests of Funds Received During the Period July 1 through December
31,2011

In accordance with the City's Sunshine Ordinance, bequests received by the Fine
Arts Museums must also be disclosed. Ms. Gutierrez introduced the following
resolution, which acknowledges bequests of funds received during the period July 1
through December 31 , 2011:

RESOLVED, That the Board of Trustees of the Fine Arts Museums of San
Francisco does hereby acknowledge that no bequests of funds were received during
the period July 1 through September 30, 2011; and be it

FURTHER RESOLVED, That the Board of Trustees of the Fine Arts Museums of
San Francisco does hereby acknowledge the following bequests of funds received
during the period October 1 through December 31, 2011:

Ms. Gutierrez reported that there were no other informational items.

V. Public Comment

Members of the public may address the Board of Trustee on items within the
subject matter jurisdiction of the Fine Arts Museums of San Francisco. Speakers my
address the Board for up to three minutes: The President of the Board of Trustees
may limit the total comment to thirty minutes. There was no public comment.
