The annual meeting of the Board of Trustees of the Fine Arts Museums of
San Francisco was held on Tuesday, June 12, 2012, in the Board Room of the Legion of Honor Museum, Lincoln Park, San Francisco. A quorum was present, that being one-third of the number of Trustees in office. The meeting was called to order at 3:20 p.m. by Diane B. Wilsey, President.

President Wilsey presided; Mrs. Bourne acted as Secretary.

III. Report of the Nominating Committee – Lisa Zanze, Chair

A. Report on Trustees Retiring from the Board of Trustees of the Fine Arts Museums of San Francisco

Lisa Zanze, Chair of the Nominating Committee, presented the report of the June 12, 2012 meeting of the Nominating Committee. She stated that four Trustees are retiring from the Board of Trustees. Carlos Garcia is retiring as Superintendent of the San Francisco Unified School District, and is therefore resigning from the Fine Arts Museums Board of Trustees. She thanked Mr. Garcia for his dedicated service to the City and County of San Francisco, to the students of San Francisco and to the communities served by the Fine Arts Museums.

The following Trustees will retire from the Board of Trustees at the conclusion of the June 12, 2012 meeting, having completed three consecutive terms of three years each:

On behalf of the Board of Trustees, Trustee Zanze expressed appreciation for their nine years of dedicated service. The Board of Trustees acknowledged Trustees François, Renne and Traina with a round of applause.

Trustee Zanze reported that the Committee voted to nominate Louise Renne and Trevor Traina for election to the Board of Trustees, one year after they have completed three consecutive terms of three years, for an additional three three-year terms, commencing at the October 2013 meeting of the Board of Trustees. This is in accordance with Article 1, Section 1 of the Bylaws of the Fine Arts Museums. She also stated that when the San Francisco Unified School District appoints a successor to Superintendent Garcia, the Nominating Committee will recommend that person for election to the Board of Trustees, in accordance with Article 1, Section 1 of the FAMSF bylaws

B. Consideration and Possible Action to Adopt a Resolution Setting the Number of Trustee Positions

Trustee Zanze introduced the following resolution setting the number of Trustee positions:

WHEREAS, The San Francisco Charter, Section 5.105, provides for a variable number of Trustees; and

WHEREAS, The Charter sets the number of Trustees at no more than sixty-two (62), with the exact number to be set by the Board of Trustees from time to time; now, therefore, be it

RESOLVED, That the Board of Trustees of the Fine Arts Museums of
San Francisco does hereby set the number of Trustees at forty-five (45) until such number is changed by this Board.

On motion, duly seconded, there was no further discussion among Trustees. There was no public testimony. The Board of Trustees voted unanimously to adopt the above resolution as Board Resolution 1735.

IV. Report of the President – Diane B. Wilsey

A. Consideration and Possible Action to Approve the Minutes of the April 19, 2012 Meeting of the Board of Trustees

There being no discussion among the Trustees or members of the public, the minutes of the April 19, 2012 meeting of the Board of Trustees, having been mailed in advance to all Trustees, were unanimously approved.

B. Consideration and Possible Action to Approve the Report of the May 23, 2012 Acquisitions Committee Meeting – George Hecksher, Vice President for Collections and Chair of the Acquisitions Committee

In the absence of George Hecksher, Chair of the Acquisitions Committee, Trustee Marc Cruciger, a member of the Committee, presented the following report:

1. Gifts

Trustee Cruciger noted gifts of 18th century Sèvres and Worcester porcelain to the European Decorative Arts Department; five works on paper by William T. Wiley (American, b. 1937), a charcoal and chalk drawing by George Segal (American, 1924-2000), 17 etchings by Louis Icart (French, 1888-1950) to the Achenbach Foundation for Graphic Art; and one 19th century Ecuadorian shawl to the Textiles Department. Trustee Cruciger advised that the Acquisitions Committee recommends the acceptance of 28 works of art from 5 donors. He expressed appreciation to all the donors. The gifts offered to the Museums by the Fine Arts Museums Foundation are listed on pages 1 – 4 of Appendix I of these minutes.

2. Purchases

Trustee Cruciger stated that Martin Chapman, Curator of European Decorative Art, proposed the purchase of Six Armchairs (Fauteuils a la Reine) from the Salon of M. Perier, Vicomte de Greze, ca. 1786; Two Armchairs (Fauteuils a la Reine) and One Sofa (Canapé) after those made for the Salon of M. Perier, Vicomte de Greze, ca. 2012; Three Side Chairs (Chaises courants), ca. 1785; and Nine Side Chairs (Chaises courants), 19th century for the restoration of the Salon Doré at the Legion of Honor.

It was noted that no other United States institution displays a period room in such a way as the proposed Salon Doré project. Mr. Chapman’s plan is to create a cutting edge period room, such that the room as a whole is the work of art, built around the greatest object, the paneling, rather than a simple collection of objects from the period. This room will be installed in the same aesthetic as it was historically in order to show how it functioned as a whole. It will present visitors with the social history of the decorative and functional objects of the period. The renovated room will be square (it was previously rectangular), based on plans that Mr. Chapman discovered for the room.

Trustee Cruciger invited Karin Breuer, Curator in Charge of the Achenbach Foundation for Graphic Art, to discuss proposed purchases for the Achenbach Collection. Two early Japanese woodblocks prints, early examples of Japanese Buddhist printmaking, and four lithographs by Frederick Hammersley (American, 1919 - 2009), an “Abstract Classicist” who is not currently represented in the collection are proposed for purchase.

Ms. Breuer then presented three drawings by Jay DeFeo (American, 1929–1989), Untitled Study for Bride, (2710, 2711 and 2720), 1986, which were on view at the meeting. DeFeo experimented with media and form and her subjects were modeled on everyday objects which she repeatedly engaged and explored. The three studies depict an antique chair seat in her studio and its scrolled arm. They explore the detail of the stuffing, the form of the chair and, finally, the total abstraction of the object. The drawings are offered by the artist’s estate and they are the only studies in this series which are signed and dated by the artist. The opportunity to purchase these works is important for the Museums at this time, given that a major traveling retrospective of DeFeo’s work, organized by the Whitney Museum of American Art, will be presented at SFMOMA in fall 2012.

The works of art listed on pages 5–7 of Appendix I of these minutes were recommended to the Board of Trustees for purchase approval.

3. Funded Purchases (reported for the record)

Funded purchases reported for the record include a watercolor by John Zurier and a book by the Brooklyn Artists Alliance, listed on page 8 of Appendix I of these minutes. Funded purchases valued at less than $10,000 may be made by curators at their discretion. Chair Hecksher noted the purchases for the record.

4. First Step Deaccessioning

The 61 works of Africa, Oceania and the Americas art; 244 Maritime objects from the Achenbach Foundation for Graphic Art; 2 works of American art; and 35 Historic Maritime objects from the European and American Decorative Arts collections listed on page 9 of Appendix I of these minutes were recommended to the Board of Trustees for first step deaccessioning.

5. Second Step Deaccessioning

The 46 works of European Decorative art listed on page 10 of Appendix I of these minutes were recommended to the Board of trustees for second step deaccessioning. As required by Board policy, the objects were available for viewing by the Acquisitions Committee at its May 23, 2012 meeting.

6. Sale of Art Not Accessioned

The Museums have the authority to sell objects not accessioned into the permanent collection, in accordance with current policies and practices for the sale of non-accessioned material. The Acquisitions committee recommended that the 13 non accessioned objects listed on page 11 of Appendix I of these minutes be offered for sale at public auction.

7. Sale of Abandoned Property

Trustee Cruciger advised that the works of art proposed for sale have been on long-term loan for over 25 years. Property is considered abandoned after it has been left unclaimed at an institution for twenty-five years. The Acquisitions Committee recommended to the Board of Trustees the sale of the two objects, designated as abandoned property, listed on page 12 of Appendix I of these minutes.

The following resolution was then introduced:

RESOLVED, That the Board of Trustees of the Fine Arts Museums of San Francisco does hereby approve the appended May 23, 2012 report of the Acquisitions Committee of the Fine Arts Museums Foundation, including approving the works of art acquired through purchase and donation as gifts to the Fine Arts Museums of San Francisco from the Fine Arts Museums Foundation, approving first and second step deaccessioning, approving the sale of art not accessioned and approving the sale of abandoned property.

On motion, duly seconded, there was no discussion among Trustees. There was no public testimony. The Board of Trustees voted unanimously to adopt the above resolution as Board Resolution 1736.

C. Annual Report of the Corporation of Fine Arts Museums

President Wilsey stated that the Trustees will hear reports from the Nominating, Development, Marketing, and Finance Committees in the following COFAM meeting.

D. Other Informational Items

President Wilsey reported that Trustee Penny Coulter has asked that her leave of absence from service to the Board of Trustees be extended for one year, until the next Annual Meeting in June 2013. She also introduced Richard Benefield, who recently joined the Museums’ staff as Director of Special Projects. He is responsible for hiring in Marketing and Development and will oversee the Curatorial Exhibition Departments.

B. Consideration and Possible Action to Adopt a Resolution to Transfer Funds in the Admission Fund for the Fiscal Year 2012-2013

Ms. Gutierrez introduced the following resolution to transfer funds in the admission fund for Fiscal Year 2012-2013 to reimburse the Corporation of the Fine Arts Museums for expenses incurred on behalf of the Museums:

RESOLVED, That the Board of Trustees of the Fine Arts Museums of San Francisco does hereby authorize the Controller of the City and County of San Francisco to transfer monthly excess revenue over monthly admission operating expenses in the Admission Fund (2S CRF RPD) Index Code 615001 to Project PFAADM, Index Code 615001 on a monthly basis for the Fiscal Year 2012-2013; and, be it

FURTHER RESOLVED, That the funds in project PFAADM are to be used to reimburse the Corporation of the Fine Arts Museums for expenses incurred on behalf of the Museums.

On motion, duly seconded, there was no discussion among Trustees. There was no public testimony. The Board of Trustees voted unanimously to adopt the above resolution as Board Resolution 1737.

C. Consideration and Possible Action to Adopt a Resolution Acknowledging Funding Expended by the Corporation of the Fine Arts Museums During the Period January 1 through March 31, 2012

The city’s Sunshine Ordinance requires the Fine Arts Museums to disclose the amount and source of all gifts received. Ms. Gutierrez presented the following resolution, which acknowledges funding expended by the Corporation of the Fine Arts Museums for the period January 1 through March 31, 2012:

WHEREAS, The Corporation of the Fine Arts Museums is a 501(c)(3) not-for-profit corporation that exists to support the activities of the Fine Arts Museums of San Francisco; now, therefore, be it

RESOLVED, That the Board of Trustees of the Fine Arts Museums of San Francisco does hereby acknowledge with gratitude funding in the amount
of $9,246,705 expended by the Corporation of the Fine Arts Museums for operations during the period January 1 through March 31, 2011.

On motion, duly seconded, there was no discussion among Trustees. There was no public testimony. The Board of Trustees voted unanimously to adopt the above resolution as Board Resolution 1738.

D. Consideration and Possible Action to Adopt a Resolution Acknowledging Bequests of Funds Received During the Period January 1 through March 31, 2012

In accordance with the city’s Sunshine Ordinance, bequests received by the Fine Arts Museums must also be disclosed. Ms. Gutierrez introduced the following resolution, acknowledging bequests of funds received during the period January 1 through March 31, 2012:

RESOLVED, That the Board of Trustees of the Fine Arts Museums of San Francisco does hereby acknowledge the bequests of funds received during the period January 1 through March 31, 2012:

VI. Public Comment

Members of the public may address the Board of Trustees on items within the subject matter jurisdiction of the Fine Arts Museums of San Francisco. Speakers may address the Board for up to three minutes; the President or the Board of Trustees may limit the total comment to thirty minutes. There was public comment by members of Service Employees International Union (SEIU) Local 1021.

Shirley Breyer-Black, former Trustee of the Fine Arts Museums and former President of SEIU 790 Union spoke regarding contract negotiations between SEIU and COFAM.

Larry Bradshaw, labor negotiator and Vice President of SEIU 1021, appealed to Trustees to help settle a contract that includes affordable healthcare and a wage increase.

James Turner, a security guard at the Museums and member of SEIU 1021 also asserted the need for a new contract for SEIU workers and stated that he will stand side by side with COFAM employees.

David Canham, SEIU staff member, stated that he has recently stepped in to help negotiate a COFAM contract that keeps health care affordable, provides modest improvements in retirement and ensures fair wage increases that do not pit existing employees against future hires. He also asserted that increases should not be tied to subjective evaluations and budgets.

Stephen Lockwood, Senior Registrar at the Museums, Shop Steward and member of SEIU 1021, spoke of the challenges of the nine month process for contract negotiations.

Letters addressed to the Board of Trustees from Ms. Breyer Black, Mr. Bradshaw, Mr. Thomas, and Mr. Canham are appended to these minutes in Appendix II. Also included in Appendix II are letters from Museums employee Elizabeth Scott Etienne and an anonymous “dedicated union employee,” which were submitted during the Public Comment portion of the meeting. President Wilsey thanked the speakers for taking the time to attend the meeting and to share their experiences and points of view and she expressed the hope that she will be able to announce a labor accord in the near future.
